Abstract

Deed of Statement of Meeting Resolutions is made to ensure legal certainty of the General Meeting of Shareholders (GMS) and its resolutions. The problem arises when Deed of Statement of Meeting Resolutions issued from extraordinary GMS that contained torts, i.e. the extraordinary GMS held by PT. Eco Environmental Energy Indonesia (PT. Eco) on 21st May 2011 which was led by Sudarso as the Primary Commissioner. This research is a normative law research by using normative and case approaches. Aims of this research are to analyze legal consequences and settlement efforts toward Deed of Statement of Meeting Resolutions which was issued from extraordinary GMS that contained torts by using case approach of Supreme Court Decision Number 1738 K/Pdt/2015. Deed of Statement of Meeting Resolutions Number 56 which was issued from extraordinary GMS held by PT. Eco on 21st May 2011 and had been proceeded to Minister of Law and Human Rights, created legal consequences for several parties, including the shareholder, tortfeasor, and notary who issued and proceeded the Deed of Statement of Meeting Resolutions to Minister of Law and Human Rights. Settlement efforts toward the issuance of the Deed of Statement of Meeting Resolutions Number 56 was proceeded through Batam District Court, Pekanbaru High Court and lastly the Supreme Court. / Penerbitan Akta Pernyataan Keputusan Rapat (PKR) dari penyelenggaraan RUPS dilakukan untuk menjamin kepastian hukum telah diadakan RUPS dengan keputusan-keputusannya. Permasalahannya muncul ketika Akta PKR diterbitkan dari penyelenggaraan RUPS Luar Biasa yang mengandung Perbuatan Melawan Hukum (PMH), sebagaimana RUPS Luar Biasa yang diselenggarakan PT. Eco Environmental Energy Indonesia (PT. Eco) pada tanggal 21 Mei 2011, yang dipimpin Komisaris Utamanya yakni Sudarso. Penelitian ini merupakan penelitian hukum normatif yang menggunakan pendekatan Undang-Undang dan pendekatan kasus. Tujuan penelitiannya adalah untuk menganalisis akibat hukum dan upaya penyelesaian terhadap penerbitan Akta PKR dari penyelenggaraan RUPS Luar Biasa yang mengandung PMH dengan pendekatan kasus terhadap Putusan Mahkamah Agung Nomor 1738 K/Pdt/2015. Penerbitan Akta PKR Nomor: 56 dari penyelenggaraan RUPS Luar Biasa PT. Eco tanggal 21 Mei 2011 yang kemudian diproses ke Menteri Hukum dan Hak Asasi Manusia, menimbulkan akibat hukum terhadap para pihak terkait yakni pemegang saham, pelaku perbuatan melawan hukum, dan Notaris yang menerbitkan dan memproses Akta Pernyataan Keputusan Rapat ke Menteri Hukum dan Hak Asasi Manusia. Upaya penyelesaian terhadap penerbitan Akta PKR Nomor: 56 tersebut telah diproses melalui jalur pengadilan yakni dari Pengadilan Negeri Batam, Pengadilan Tinggi Pekanbaru dan terakhir di Mahkamah Agung.
