Abstract
Pursuant to capital market law in Indonesia, mutual fund can be either in the
form of a corporation or in the form of collective investment contract. Mutual Fund
in the Form of Collective Investment Contract based on prevailing regulation shall be
made in the form of Notarial Deed. Such Deed of Collective Investment Contract is
signed by Investment Manager and Custodian Bank acting as the parties of the
Contract and as appeared in front of Notary. As regulated in capital market regulation
that such Contract is binding investor who owns the participation unit in mutual fund
as well whereas the investor does not appear in front of the Notary. Deed of
Collective Investment Contract obtains clauses for the interests of the investors
which general concept of mutual fund basically is for the purpose of investor. The
Law of Notary states that the content of Deed shall be based on the intention of the
parties who own the interest, and Notary also has obligation to verify the parties or
its representatives/trustee appear in front of the Notary. Eventually, for the issuance
of deed, notary shall put attention to subject and requirements and its correlation, and
Notary shall verify all parties or its representative including its data and evidence of
the ownership. Article 1338 on Indonesia Civil Law states that all provisions in the
agreement shall be based on the consent of the parties and shall be executed by such
parties, the question to such clause appears when the contract is also binding to third
party, this will be analyzed further in this theses. The source of trust law concept
came from common law where the mutual fund in Indonesia refers to such concept,
specially for mutual fund in the form of collective investment contract regulating
third party. In common law, trustee concept is created for the interest of investors as
the representative of such investors based on trust deed. Whereas, in the Deed of
Collective Investment Contract in Indonesia, there is no party acting on behalf of
investor. Therefore, this theses will analyze the basic concept and regulation related
to the mutual fund and collective investment contract as well, specially on the role
and responsibility of the notary as appointed party to make the Deed of Collective
Investment Contract. / Reksa Dana berdasarkan peraturan pasar modal di Indonesia dapat berbentuk
Perseroan atau Kontrak Investasi Kolektif. Reksa Dana berbentuk Kontrak Investasi
Kolektif berdasarkan peraturan harus dibuat dalam bentuk Akta Notaris. Akta
Kontrak Investasi Kolektif tersebut ditandatangani oleh Manajer Investasi dan Bank
Kustodian selaku pihak penghadap dalam akta. Berdasarkan peraturan pasar modal
disebutkan bahwa Kontrak tersebut mengikat Investor yang memiliki unit penyertaan
Reksa Dana walaupun Investor Akta Kontrak Investasi Kolektif Reksa Dana bukan
merupakan pihak penghadap kepada Notaris. Akta Kontrak Investasi Kolektif Reksa
Dana tersebut juga mengatur kepentingan investor yang secara konsep umum reksa
dana dibuat pada prinsipnya untuk kepentingan Investor. Undang-undang mengenai
Jabatan Notaris menyebutkan bahwa isi Akta merupakan kehendak dan keinginan
para pihak yang berkepentingan dan Notaris wajib memeriksa para penghadap selaku
pihak yang dianggap berkepentingan atau wakilnya. Padahal dalam membuat akta,
notaris harus memperhatikan mengenai orang dan untuk siapa akta dibuat harus ada
keterkaitan yang jelas dan Notaris harus memastikan identitas diri penghadap dan
bukti kepemilikannya. Pasal 1338 KUH Perdata menyebutkan bahwa semua
ketentuan dalam perjanjian yang telah disepakati para pihak mengikat dan wajib
dilaksanakan oleh para pihak yang membuatnya, bagaimana apabila keberlakuannya
mengikat pihak ketiga yaitu kepada investor akan menjadi pembahasan pada
penulisan ini. Konsep hukum trust yang berasal dari common law yang merupakan
konsep dasar yang diambil oleh reksa dana berbentuk kontrak investasi kolektif di
Indonesia mengatur sehingga reksa dana ini dibuat untuk kepentingan pihak lain atau
pihak ketiga yaitu investor, sehingga dibentuk trustee selaku wakil dari investor pada
trust deed. Sedangkan pada Akta Kontrak Investasi Kolektif Reksa Dana di
Indonesia tidak ada pihak yang berkedudukan selaku wakil dari investor. Dengan
gambaran tersebut, Penulis mencoba menganalisa dari konsep dasar dan peraturanperaturan sehubungan reksa dana serta kontrak investasi kolektif terutama dalam
kaitannya dengan peran serta tanggung jawab notaris selaku pihak yang ditunjuk
untuk pembuatan Akta Kontrak Investasi Kolektif Reksa Dana berikut
permasalahannya.
