Abstract

Generally, prior to the establishing of company, the parties will make an preliminary contract, however, in practically, the article of association of the company are having a specific format and it made before the Notary according to Law Number 40 Year 2007 Regarding Limited Liability Company, hence, often the deed of establishment of the company has not accommodate a several clause in the joint venture agreement. In this case, the notary has seriously asking by the client to provide a good wording in the article of association of the company to accommodating the parties concern in the joint venture agreement. In accordance to solving such problems, the author have using a juridicalnormative research method and collecting all data by using regulations which related to the problems. Based on the research, the author had conclude that there are two material norm which has been restrict and limiting the Notary to accommodating the parties concern to entering the joint venture agreement clause into the article of association of the company which made by the parties, such norm are to enforced and to set, and it regulated in Law Number 40 Year 2007 Regarding Limited Liability Company. / Pada umumnya, para pihak membuat suatu perjanjian terlebih dahulu sebelum pendirian perseroan terbatas dilakukan. Namun, karena anggaran dasar perseroan terbatas yang dibuat di hadapan notaris memiliki format spesifik yang ditentukan oleh Undang-Undang Nomor 40 Tahun 2007 tentang Perseroan Terbatas, maka seringkali akta pendirian suatu perseroan terbatas tidak dapat mengakomodasi beberapa ketentuan yang tercantum dalam joint venture agreement. Disini, notaris dituntut untuk mampu menuangkan kata-kata ke dalam akta anggaran dasar sedemikian rupa dengan mengindahkan batasan-batasan tertentu sehingga sesuai dengan apa yang dituangkan para pihak dalam joint venture agreement. Dalam menjawab permasalahan ini, penulis menggunakan metode penelitian hukum yuridis normatif dan melakukan pengumpulan data dengan menggunakan pendekatan perundang-undangan, yakni mengacu pada peraturan dan perundang-undangan yang berkaitan dengan permasalahan yang dihadapi. Dari hasil penelitian tersebut, dapat disimpulkan bahwa pengaturan isi anggaran dasar perseroan terbatas dalam Undang-Undang Nomor 40 Tahun 2007 tentang Perseroan Terbatas ini terdapat dua macam ketentuan, yakni ketentuan yang bersifat memaksa maupun yang bersifat mengatur. Di mana, hal ini menjadi batasan-batasan bagi notaris dalam mengakomodasi kehendak para pihak dalam joint venture agreement ke dalam anggaran dasar perseroan terbatas.
