Abstract

Good Corporate Governance becomes a very substantial issue as monetary crisis which attacks violently in several, countries, especially in Indonesia. The collapse of business sector extremely felt as an effect from the less-effective of firm of company performing by management and also, by the low of supervision mechanism of commissioner council. In relation with supervision of commissioner council, the independent from such commissioner is very required, until independence constitutes an important issue within Good Corporate Governance implementation because if independence is vanished from commissioner in process of business's decision making thus its objectivity shall vanish in such decision making. This matter shall make is very fatal consequence if company's interest which should be come a priority must be sacrificed. Beside it the commissioner's indication because any debt of honor or gratitude which prevails in the culture and custom of Indonesia society can omit the independence characteristic of commissioners because they shall be inclined to take side to the person who has been deserved upon their selves in making a decision than they have to act independent. Those things which often make a company experienced the problem. To increase and keep the independence in business's decision making, thus some regulations, guidelines and practices of implementation must be develop in level of corporate board especially in level of commissioner council where in level of corporate board especially in level of commissioner council wherein by the laws they are obligated to carry out an independent supervision towards company performing or management by direction.
