The activities of Foreign Capital Investment (PMA) in Indonesia should subject to the provisions of Capital Market Act and the provisions of the Law Number 40 of 2007 regarding Limited Liability Company. One of the form of PMA activity is a Joint Venture Company. A Joint Venture Company is established based on a Joint Venture Agreement which was made by foreign investors and national investors. A Joint Venture Agreement is made to guarantee legal certainty for the related parties in which the agreement must be made in the form of Notariil Deed and made by a Notary. From such matter, some questions emerges such as how is the position of foreign investors and national investors in the agreement of Joint Venture establishment (Joint Venture Agreement) in order of investment and how is the role of the Notary in of establishment of Limited Liability Company Foreign Capital Investment (PT. PMA) that meet the Act Provision in Investment. The Legal research which was done by the writer of juridical normative with technique of act approach. The type of data which used in this Legal Research are secondary data by researching literature materials, while the analysis is using descriptive method. The conclusion of this research is that the position of the parties in a Joint Venture Agreement concerning rights and obligations that influenced by the amount of capital and initial shares will be set out in the articles of association of the company, in which the setting on the position of the parties in the articles of association must be in accordance with the provisions of UUPT and the Notary has an important role according to the provisions of Article 7 paragraf 1 of UUPT which is to create legal certainty for the parties who are involved in the Joint Venture Agreement. / Kegiatan penanaman modal asing (PMA) di Indonesia harus tunduk pada ketentuan Undang-undang Pasar Modal dan ketentuan Undang-Undang Nomor 40 Tahun 2007 tentang Perseroan Terbatas. Salah satu wujud dari kegiatan PMA adalah Joint Venture Company atau perusahaan patungan. Joint Venture Company didirikan berdasarkan Joint Venture Agreement yang dibuat oleh investor asing dan investor nasional. Joint Venture Agreement dibuat untuk menjamin kepastian hukum bagi para pihak terkait, yang mana perjanjian tersebut harus dibuat dalam bentuk akta Notariil dan dibuat oleh Notaris. Dari hal tersebut timbul pertanyaan bagaimana kedudukan Investor Asing dan Investor Nasional dalam perjanjian pembentukan perusahaan patungan (Joint Venture Agreement) dalam rangka Penanaman Modal dan bagaimana peran Notaris dalam pendirian Perseroan Terbatas Penanaman Modal Asing (PT. PMA) yang memenuhi ketentuan perundang-undangan di bidang Penanaman Modal. Penelitian hukum yang dilakukan penulis yuridis normatif dengan teknik pendekatan undang-undang. Jenis data yang dipergunakan dalam penelitian hukum ini adalah data sekunder dengan cara meneliti bahan pustaka, sedangkan analisisnya dengan menggunakan metode deskriptif. Kesimpulan dari penelitian ini, bahwa kedudukan para pihak dalam Joint Venture Agreement menyangkut hak dan kewajiban yang dipengaruhi oleh jumlah modal dan penyertaan saham akan diatur dalam anggaran dasar perseroan, yang mana pengaturan atas kedudukan para pihak dalam anggaran dasar tersebut harus sesuai dengan ketentuan UUPT dan Notaris mempunyai kedudukan yang sangat penting sesuai ketentuan Pasal 7 ayat (1) UUPT yaitu untuk menciptakan kepastian hukum bagi para pihak yang terkait dalam Joint Venture Agreement.
