Globalisation era, which supported by sophisticated information system and communication, has encouraged developing financial market including derivative transaction. Derivative transaction is a financial contract whose value is derived from the value of an underlying asset, hence the name. The underlying asset may be a stock; treasury bill/bond, a foreign currency, interest rate, commodity, equity, and index follow with movement or without movement of fund/instrument. In the implementation of this transaction, has developed discourse in the society that this transaction is a gaming. So this transaction is not legal regarding to the Indonesian regulation. Because of that is needed legal research and analysis to fine out of this problem. In this thesis, found that this transaction is legalizing according to the Indonesian Civil Law Regulation (KUHP). The reason is, those regulation to regulated that this transaction satisfying requirement of principle of globalisation, principle of freedom of contract (Laissez Faire), principle of consensus and principle of good faith. Although derivative transaction has declared as legal contract by Indonesian Supreme Court and has also regulated by Decree of Governor Central Bank Indonesia, but hopefully it should to regulated by regulation as same as State Law in order to protect and for legal certainty.
