Regulations regarding prospectus of right issue only neccesitate important informations on the right issue itself and refer to regulation made by the Capital Market Advisory Board (Bapepam) on brief prospectus of go public. This is interesting because brief prospectus of go public does not contain confirmed information of a company as well as legal opinion, whereas right issue is a corporate action that is equally significant as go public eventhough it is only aimed for the existing shareholder. Bapepam regard that there is no need to include legal opinion in prospectus of right issue because a public company must perform periodic and episodic disclosure as an accountability to its shareholder and public as well. Thus, it is assumed that shareholders and public are aware of the situation of the public company. However, if the right issue contains conflict of interest or material transactions, then legal opinion must be included in the prospectus to protect shareholder from being abused by the company and as a consequent to comply with regulations made by Bapepam regarding conflict of interest and material transaction.
