Abstract
Asas itikad baik sebagaimana yang terkandung dalam pasal 1338 ayat (3) BW merupakan salah-satu asas yang melandasi hukum perjanjian. Asas itikad baik memiliki fungsi yang penting dan telah menjadi kewajiban hukum. Sebagai sebuah kewajiban hukum, maka asas itikad baik ini berlaku dan harus diterapkan dalam setiap fase kontrak, baik itu prakontraktual, kontraktual dan pascakontraktual, namun dalam prakteknya membawa sejumlah permasalahan, antara lain keabstarakan tolak ukur (wujud) dan makna dari asas itikad baik yang sangat beragam sehingga menimbulkan ketidakpastian hukum dalam masyarakat. Oleh karena itu, penelitian ini bertujuan untuk menemukan perwujudan daripada asas itikad baik dalam setiap fase dalam kontrak pelaksanaan pembangunan rumah tinggal antara CV X dan Tuan A, sehingga dapat membentuk pemaknaan yang tunggal tentang asas itikad baik.
Penelitian ini menggunakan tipe yuridis normatif yang menempatkan hukum sebagai norma atau kaidah, dengan silogisme deduksi. Bahan yang digunakan meliputi bahan hukum primer dan bahan hukum sekunder. Berdasarkan hasil pembahasan disimpulkan bahwa wujud asas itikad baik dalam fase prakontraktual diwujudkan melalui niat jujur yang dimiliki para pihak sejak awal negosiasi, kemudian dalam tahap kontraktual asas itikad baik diwujudkan melalui klausul (pasal) kontrak yang tidak hanya menguntungkan satu pihak dan merugikan pihak lainnya, dan tahap pascakontrak diwujudkan dengan pelaksanaan kontrak itu sendiri melalui pemenuhan prestasi/kewajiban para pihak sesuai dengan kesepakatan yang telah ditentukan dalam kontrak. / The principle of good faith as contained in section 1338 subsection (3) BW is one of the principles that underlies contract law. The principle of good faith has an important function and has become a legal obligation. As a legal obligation, then the principle of good faith is valid and should be applied in every phase of the contract, be it pre-contract, contractual and post-contract, but in practice it brings a number of problems, among other benchmarks immateriality (form) and the meaning of the principle of good faith is so diverse that causes legal uncertainty in society. Therefore, this study aims to find a the embodiment of good faith in every phase of the residential development in the implementation of the contract between CV X and Mr A, so as to form a single interpretation of the principle of good faith.
This study uses a type of normative juridical norm as the law or rules, the deductive syllogism. Materials used include primary legal materials and secondary legal materials. Based on the results of the discussion it is concluded that the manifestation of the principle of good faith in pre-contract phase is realized through the bonafides of the parties held since the beginning of the negotiations, then the principle of good faith contractual stage is realized through clause (article) contract that not only benefit one party and harm the other party, and post-contract stage is realized with the implementation of the contract itself by fulfilling performance/obligations of the parties in accordance with the agreements specified in the contract
