Abstract

Seiringnya perkembangan ekonomi, Indonesia telah menjadi salah satu destinasi investasi asing, investasi asing tersebut dapat masuk dalam bentuk perorangan maupun perusahaan atau badan hukum asing, di lain sisi badan Hukum Asing disyaratkan dapat menjadi sebagai pemegang saham dalam perseroan yang didirikan berdasarkan Undang Undang Nomor 40 Tahun 2007 tentang perseroan terbatas, namun ketentuan Hukum tidak mengatur lebih lanjut mengenai tentang cara untuk memverifikasi badan asing tersebut telah berbentuk badan hukum, penelitian ini untuk menemukan metode untuk meverifikasi mengenai keabsahan suatu badan hukum asing serta pihak yang berhak mewakili badan hukum asing tersebut. Penelitian hukum ini menggunakan penelitian hukum normatif dengan pendekatan Undang undang dan pendekatan konseptual, yaitu dengan menanalisa konsep serta unsur unsur suatu badan hukum dalam Undang-Undang Perseroan Terbatas dan lebih spesifik mengenai Badan Hukum Asing itu sendiri. Kesimpulan dari penelitian ini yaitu cara Notaris untuk memverifikasi apakah badan asing tersebut telah berbentuk badan hukum, serta pihak yang berhak mewakili badan hukum asing dalam menghadiri Rapat Umum Pemegang Saham. Demi perkembangan ekonomi, para pembuat aturan seharusnya membuat aturan yang meregulasi badan hukum asing ini secara jelas / In line with the development of Economy, Indonesia has become one of the foreign investments destinations, the foreign investment may be entered in the form of an individual or foreign company in a legal entity. In other hand, Foreign Legal Entity is subjected to become a shareholder in a company established under Law number 40 Year 2007 concerning Limited Liability Company, but the provions of the law does not regulate on how to verify whether a foreign entity is in a form of legal entity. This research is to find out a legal method to verify the validity of foreign legal entity as well as the party entitled to represent the foreign legal entity. This legal research uses normative legal research with law approach and conceptual approach that is done by analyzing the concept and the element of a legal entity in compliance with Indonesia Limited Liability Company Law, and spesifically regarding to foreign legal entity itself, The conclusion of this research is the method for the Notary to verify whether the foreign body has been in the form of a legal entity, as well as the party entitled to represent foreign legal entities in shareholders meeting. For the sake of economic development, the regulators should make rules that regulate these foreign legal entities clearly
