Penyelenggaraan E-RUPS bagi Perseroan Terbuka merupakan bentuk terbosoan hukum pada pandemic Covid-19 yang membatasi pertemuan secara fisik. Ketentuan Pasal 77 UUPT menegaskan bahwa penyelenggaraan RUPS dapat dilakukan dengan media telekonferensi, video konferensi atau sarana media elektronik lainnya. Masalahnya, ketentuan terperinci mengenai pelaksanaan E-RUPS secara elektronik belum diatur dalam Pasal 77 UUPT. Penelitian hukum ini mengkaji permasalahan hukum tersebut dengan metode penelitian yuridis normatif dan pendekatan perundang-undangan (statue approach). Hasil penelitian menunjukkan bahwa diberlakukannya POJK Nomor 15/POJK No.04/2020 tentang Rencana dan Penyelenggaraan Rapat Umum Pemegang Saham Perusahaan Terbuka dan POJK Nomor 16/POJK No.04/2020 tentang Pelaksanaan Rapat Umum Pemegang Saham Perusahaan Terbuka secara Elektronik, maka terdapat landasan hukum bagi pelaksanakan RUPS secara elektronik (E-RUPS). Sementara itu, risalah E-RUPS wajib dibuat dalam bentuk akta notariil oleh notaris yang terdaftar di Otoritas Jasa Keuangan. Notaris sebagai pejabat umum yang menjalankan kewenangan dengan membuat Risalah E-RUPS harus memiliki standar moral yang tinggi dan menerapkan prinsip kehati-hatian serta memperhatikan ketentuan perundang-undangan yangberlaku. Kesemuanya itu diperlukan agar Risalah E-RUPS tersebut menjadi akta otentik yang memiliki kekuatan pembuktian yang sempurna. / The implementation of the E-GMS for a Public Company is a form of legal breakthrough in the Covid-19 pandemic which limits physical meetings. The provisions of Article 77 of the Company Law stipulates that the holding of the GMS can be carried out by means of teleconference, video conference or other electronic media facilities. The problem is, the detailed provisions regarding the implementation of the E-GMS electronically have not been regulated in Article 77 of the Company Law. This legal research examines these legal issues using a normative juridical research method and a statutory approach. The results of the study show that the implementation of POJK Number 15/POJK No.04/2020 concerning the Planning and Implementation of the General Meeting of Shareholders of Public Companies and POJK Number 16/POJK No.04/2020 concerning the Implementation of the General Meeting of Shareholders of Public Companies Electronically, then there is a basis law for the implementation of the GMS electronically (E-GMS). Meanwhile, the minutes of the E-GMS must be made in the form of a notarial deed by a notary registered with the Financial Services Authority. Notaries as public officials who exercise authority by making the Minutes of the E-GMS must have high moral standards and apply the precautionary principle and pay attention to the provisions of the applicable laws and regulations.
