Abstract

Contract is an agreement between two or more parties. Article 1338 of Indonesian Civil Code states that parties are free to arrange form and substance of a contract they made, for example hire purchase agreement which is not regulated but can be found in our society. Legal nature of hire purchase is a combination of sales and lease transaction. The title of the goods (or hire purchase object) will be transferred from owner to hirer when the last payment is done. In Indonesia, this hire purchase is regulated by the Minister of Trade and Cooperative Decree No. 34/II/KP/1980 (Surat Keputusan Menteri Perdagangan dan Koperasi No. 34/II/KP/1980). In Singapore hire purchase transaction is also recognized under Hire Purchase Act 125. The difference between hire purchase agreement in Indonesia and Singapore lies on the supervisory and scope of object. Directorate General of Domestic Trade, however there is no such supervision in Singapore, does supervision of hire purchase transaction in Indonesia. Hire purchase agreement in Indonesia must be done by a registered trade company, where in Singapore can be done by individuals with a price up to SGD 20.000 for consumer goods and up to SGD 55.000 for motor vehicles. Hire purchase of goods beyond said limitation is regulated by the Finance Company Act. Under the Finance Company Act hire purchase facility may only be provided by finance companies furnished with permit from the Monetary Authority of Singapore.
