PT Pertamina (Persero) as state owned company has sell his land to Yayasan Kesejahteraan Pegawai Pertamina (YKPP). As a state owned company, PT Pertamina (Persero) shall obey a regulation as stipulated in the Finance Ministerial Decree No.89/KMK/031/1991 about transfer of fixed asset state owned company and the Government Regulation No. 24/1997 about Land Registered. In order to evaluate this transaction and how a legal protection for a buyer from third party lawsuit, it’s necessary to review the transaction. The relevant data were collected and analized based on the approach of legislation and real case. The result shows that the process of land sales from PT Pertamina (Persero) to YKPP has fulfilled the asset disposal provisions of state own corporation as regulated in the Finance Ministerial Decree No.89/KMK/031/1991 and the Government Regulation No. 24/1997, however YKPP ass a buyer was sued to the court. / Pertamina sebagai perusahaan milik negara telah menjual tanahnya kepada Yayasan Kesejahteraan Pegawai Pertamina (YKPP). Sebagai perusahaan milik Negara, penjualan aset harus mengikuti Keputusan Menteri Keuangan No. 89/KMK/031/1991 dan Peraturan Pemerintah No.24 tahun 1997 tentang pendaftaran tanah. Untuk melihat sah tidaknya transaksi tersebut dan bagaimana perlindungan hukum bagi YKPP sebagai pembeli, diperlukan penelitian mengenai proses transaksi. Dalam penelitian ini, pengumpulan data dilakukan dengan cara pendekatan perundang-undangan dan juga pendekatan kasus. Hasil penelitian menunjukkan bahwa proses penjualan telah sesuai dengan regulasi dan YKPP dapat dikategorikan sebagai pembeli tanah yang beritikad, namun demikian dalam kenyataannya, YKPP masih dapat digugat ke pengadilan.
