Abstract
Praktek penyelenggaraan perjanjian pendahuluan jual beli rumah susun dengan format klausula baku yang dilakukan tidak dihadapan Notaris merupakan fakta yang marak terjadi dan tentunya menimbulkan dampak bagi seluruh pihak yang mengadakan perjanjian pendahuluan jual beli tersebut. Penelitian ini bertujuan untuk menjelaskan dan mendeskripsikan pengaturan dan implementasi asas keseimbangan dalam praktek perjanjian pendahuluan jual beli rumah susun dengan format klausula baku dimaksud berdasarkan berbagai teori, konsep, asas-asas hukum serta peraturan perundang-undangan yang berlaku, sehingga pada akhir penelitian ini berkesimpulan bahwa format klausula baku dalam transaksi sistem Perjanjian Pendahuluan Jual Beli berpotensi besar menimbulkan penyalahgunaan keadaan (misbruik van omstandigheden), temasuk dalam hal salah satu pihak dalam transaksi tersebut berada dalam kondisi yang tidak bebas dalam menentukan kehendaknya, yang pada akhirnya tidak memenuhi asas kebebasan berkontrak sebagai salah satu syarat materiil sahnya perjanjian, selain itu hal dimaksud berpotensi pada ketidakterpenuhan syarat formil sahnya perjanjian pendahuluan jual beli sebagaimana diatur dalam ketentuan pasal 43 ayat (1) Undang-Undang No. 20 Tahun 2011 tentang Rumah Susun. / The practice of holding a preliminary agreement for sale and purchase of flats with a standardized clause format that is carried out not before a Notary is a fact that is rife and certainly has an impact on all parties entering into the preliminary sale and purchase agreement. This study aims to explain and describe the regulation and implementation of the principle of balance in the practice of pre-sales and purchase of flats with a standardized clause format in question based on various theories, concepts, legal principles and applicable laws and regulations, so that at the end of this study concludes that the standardized clause format in the preliminary sale and Purchase Agreement system transaction has the potential to cause abuse of circumstances (misbruik van omstandigheden), including in the event that one of the parties in the transaction is in a condition that is not free to determine his will, which in the end does not fulfill the principle of freedom of contract as one of the one material condition for the validity of the agreement, in addition to that it has the potential to not fulfill the formal requirements for the validity of the preliminary sale and purchase agreement as regulated in the provisions of Article 43 paragraph (1) of Law no. 20 of 2011 concerning Flats.
