In the Globalization era, many companies are expanding across countries, either directly or indirectly. One of the ways conducted through corporation action by merger and acquisition. Legal consequences of merger and acquisition ranging from (i) ownership, (ii) taxation, (iii) market, until (iv) business competition. Multinational companies which have subsidiary company in Indonesia frequently conduct Merger and Acquisition outside the jurisdiction of Indonesia that causes impact in Indonesia. The multinational companies are often integrating between Holding Company and Subsidiary Company which from Corporate Group. The Indonesian regulation concerning Company do not specifically regulate Single Economic Entity which is the doctrine of the basis of relations in Corporate Group. The problem appeared at the time when the Holding Company does mergers and acquisitions outside the jurisdiction of Indonesia but resulting control in Indonesia market share. Indonesian has Competition Regulation which regulate in Law No. 5/1999.
