Abstract

Semenjak adanya Pandemi Covid-19 telah membatasi pertemuan tatap muka antara manusia serta membawa berbagai perubahan di berbagai sektor kehidupan manusia. Salah satunya yaitu melalui diundangkannya POJK 15/020 tentang Rencana dan Penyelenggaraan RUPS Perusahaan Terbuka dan POJK 16/2020 tentang Pelaksanaan RUPS Perusahaan Terbuka Secara Elektronik. Sebelum diundangkannya kedua POJK tersebut, ketentuan mengenai penyelenggaraan RUPS melalui media elektronik diatur di dalam Pasal 77 UUPT namun belum cukup diatur ketentuan terperinci mengenai pelaksanaan RUPS secara elektronik dalam pasal tersebut. Penelitian hukum ini mengkaji permasalahan hukum tersebut dengan metode penelitian yuridis normatif dan pendekatan perundang-undangan (statue approach). Hasil penelitian menunjukkan bahwa terdapat landasan hukum bagi Notaris dalam kewenangannya membuat akta autentik dalam pelaksanakan RUPS secara elektronik. Akta risalah RUPS secara elektronik wajib dibuat dalam bentuk akta notariil oleh Notaris yang terdaftar di OJK. Diharapkan Notaris dapat memahami dan cakap dalam menerapkan akta risalah RUPS perseroan terbatas pada perusahaan terbuka melalui media elektronik, agar tidak terjadi kesalahan yang dapat mengakibatkan akta autentik tersebut menjadi cacat hukum atau terdegradasi menjadi akta di bawah tangan. / Since the Covid-19 Pandemic, it has limited face-to-face meetings between people and brought various changes in various sectors of human life. One of them is through the promulgation of POJK 15/2020 concerning Planning and Implementation of GMS for Public Companies and POJK 16/2020 on the Implementation of GMS Through Electronic Means by Public Companies. Prior to the promulgation of the two POJK, the provisions regarding the implementation of the GMS through electronic were regulated in Article 77 of the UUPT but not sufficiently regulated the detailed provisions regarding the implementation of the GMS electronically in the article. This legal research examines these legal problems with normative juridical research methods and statutory approaches-invitation (statue approach). The results showed that there is a legal basis for Notaries in their authority to make authentic deeds in implementing GMS electronically. Deed of minutes of E-GMS it must be made in the form of a notarial deed by a Notary registered with the OJK. It is hoped that the Notary can understand and be proficient in applying the deed of minutes of the GMS of a limited liability company to a public company through electronic, so that there are no mistakes that can result in the deed becoming legally defective or being relegated to a deed under hand.
