Saat ini, terdapat 2 (dua) jenis perseroan, yaitu Perseroan Persekutuan Modal dan Perseroan Perorangan dimana terdapat beberapa perubahan dari Perseroan Persekutuan Modal menjadi Perseroan Perorangan. Dalam Peraturan Pemerintah tentang Perseroan Perorangan diatur mengenai pendiri Perseroan yang berusia 17 tahun. Hal tersebut berkaitan dengan unsur kedewasaan dalam peraturan perundang-undangan yang berlaku. KUHPer mengatur mengenai usia dewasa adalah 21 tahun sedangkan UUJN dan SE No. 4/SE/I/2015 mengatur mengenai usia dewasa adalah 18 tahun. Hal tersebut menimbulkan kebingungan bagi seseorang yang hendak melakukan perbuatan hukum. Rumusan masalah dalam tesis ini adalah Bagaimana Pengaturan Perseroan Perorangan menurut Peraturan Perundang�undangan yang berlaku dan Bagaimana Kewenangan Bertindak dari Pendiri Perseroan Perorangan yang berusia 17 tahun. Penelitian ini menggunakan yuridis normatif, dengan jenis data sekunder, studi pustaka dan analisis data kualitatif. Penelitian ini dapat disimpulkan bahwa dengan munculnya UUCK, terjadi beberapa perubahan dalam Perseroan. Perubahan tersebut meliputi perubahan definisi, pendirian, modal, perubahan pernyataan pendirian Perseroan, Direksi Perseroan, pemegang saham Perseroan dan pertanggungjawabannya serta pembubaran Perseroan. Selanjutnya, penentuan usia 17 tahun sebagai pendiri atau pemegang saham Perseroan Perorangan tidak ada permasalahan hukum apabila bersifat pemilikan atas saham. Namun, permasalahan muncul ketika Perseroan Perorangan, pendiri atau pemegang saham wajib merangkap jabatan sebagai Direksi Perseroan. Direksi yang berusia 17 tahun dianggap tidak cakap melakukan perbuatan hukum karena untuk melakukan suatu perbuatan hukum, Direksi yang berusia 17 tahun tidak mengacu pada UUCK maupun PP No. 8/2021, melainkan mengacu pada KUHPer. / Currently, there are 2 (two) types of companies, namely Capital Partnership Companies and Individual Companies where there have been several changes from Capital Partnership Companies to Individual Companies. The Government Regulation concerning Individual Companies regulates the founders of companies who are 17 years old. This relates to the element of maturity in the applicable laws and regulations. The Civil Code regulates that the age of adulthood is 21 years, while UUJN and SE No. 4/SE/I/2015 regulates the age of adulthood is 18 years. This causes confusion for someone who wants to take legal action. The formulation of the problem in this thesis is how the individual company is regulated according to the applicable laws and regulations and how the authority of the 17-year-old individual company founder acts. This research uses normative juridical, with secondary data types, literature study and qualitative data analysis. This research can be concluded that with the emergence of UUCK, there have been several changes in the Company. These changes include changes to the definition, establishment, capital, changes to the statement of establishment of the Company, the Directors of the Company, the shareholders of the Company and their responsibilities and the dissolution of the Company. Furthermore, determining the age of 17 years as a founder or shareholder of an individual company there is no legal problem if it is ownership of shares. However, problems arise when individual companies, founders or shareholders are required to hold concurrent positions as directors of the company. Directors who are 17 years old are considered incapable of taking legal actions because to carry out a legal action, Directors who are 17 years old do not refer to UUCK or PP No. 8/2021, but refers to the Civil Code.
