Abstract

UMKM merupakan pelaku ekonomi yang paling banyak jumlahnya di Indonesia. Permasalahan yang dihadapi oleh UMKM umumnya adalah permasalahan mengenai modal dan manajemen usaha dikarenakan belum berbadan hukum sehingga sulit memperoleh dana dari lembaga perbankan. Perusahaan Modal Ventura hadir sebagai perusahaan pembiayaan yang memiliki persyaratan lebih lunak dibandingkan dengan lembaga perbankan sehingga merupakan salah satu solusi untuk mengatasi permasalahan yang dihadapi oleh UMKM. Permasalahan yang diangkat dalam penelitian ini adalah mengenai sifat perjanjian pembiayaan modal ventura dengan sistem bagi hasil dan peranan Notaris terhadap akta perjanjian pembiayaan modal ventura dengan sistem bagi hasil. Penelitian ini diharapkan dapat memberikan kontribusi dalam pengembangan pengetahuan tentang pembiayaan Modal Ventura dengan sistem bagi hasil di Indonesia. Penelitian ini menggunakan jenis penelitian Yuridis Normatif dengan pendekatan perundang-undangan dan juga pendekatan konseptual. Hasil dari penelitian ini adalah sifat dari perjanjian pembiayaan Modal Ventura dengan sistem bagi hasil termasuk dalam perjanjian tak bernama yang merupakan perjanjian baku karena telah disusun terlebih dahulu oleh pihak PMV dan sifatnya menyerupai perjanjian utang-piutang. Notaris berperan dalam hal menuangkan perjanjian pembiayaan tersebut dalam Akta Notaris sesuai ketentuan yang terdapat dalam UUJN, mendaftarkan perjanjian dalam buku khusus, serta berperan dalam hal pengikatan jaminan yang diagunkan oleh Perusahaan Pasangan Usaha / Micro Small and Medium Enterprises are the most numerous economic actors in Indonesia. The problems faced by Micro Small and Medium Enterprises generally are problems regarding capital and business management because they are not incorporated so that it is difficult to obtain funds from banking institutions. Venture Capital Companies are present as finance companies that have softer requirements compared to banking institutions so that it is one of the solutions to overcome the problems faced by MSMEs. The problems raised in this study are about the nature of the agreement on venture capital financing with a profit sharing system and the role of the Notary on the venture capital financing agreement deed with a profit sharing system. This research is expected to contribute to the development of knowledge about financing Venture Capital with profit sharing systems in Indonesia. This study uses a type of juridical normative research with a legal approach and also a conceptual approach. The results of this study are the nature of the Venture Capital financing agreement with the profit sharing system included in the nameless agreement which is a standard agreement because it has been prepared in advance by PMV and resembles a debt agreement. The notary has a role in the matter of pouring out the financing agreement in a Notary Deed in accordance with the provisions contained in the UUJN, registering an agreement in a special book, and having a role in terms of binding guarantees pledged by the Business Partner Company
