Business Judgement Rule merupakan suatu doktrin hukum yang secara luas hidup dan melekat, pada pembahasan yang berkaitan pada ruang lingkup hukum bisnis ataupun hukum perusahaan. Doktrin ini memberikan perlindungan bagi para direksi perseroan dari adanya tuntutan pertanggungjawaban, atas timbulnya kerugian yang diakibatkan oleh suatu keputusan bisnis. Business Judgement Rule dalam hukum positif di Indonesia, terinterpretasi dalam Pasal 97 ayat (5) Undang – Undang Nomor 40 Tahun 2007 tentang Perseroan Terbatas. Suatu keputusan bisnis oleh Direksi yang menimbulkan kerugian kadang kala dapat diklasifikasikan sebagai suatu kejahatan korporasi, kejahatan yang dilakukan oleh korporasi itu sendiri maupun individu yang bertindak untuk dan atas nama korporasi. Penulisan ini menampilkan pembahasan terhadap kasus kasasi yang telah inkracht, melibatkan Karen Agustiawan seorang eks-Direktur Utama PT. Pertamina beserta Anggota Direksi lainnya yang dituntut oleh Jaksa Penuntut Umum atas keputusan bisnis yang dinilai sebagai perbuatan yang merupakan tindak pidana korupsi. Penelitian melalui metode Yuridis-Normatif dengan pendekatan masalah secara Statute Approach dan Conceptual Approach ini bertujuan untuk mengetahui konsepsi penerapan doktrin Business Judgement Rule dalam kaitannya terhadap keputusan bisnis yang diklasifikasikan sebagai suatu perbuatan kejahatan korporasi./ Business Judgement Rule is a legal doctrine that is broadly alive and attached, in discussions related to the scope of business law or corporate law. This doctrine provides protection for the Directors of the company from being held liable, for losses caused by a business decision. Business Judgement Rule in Indonesia positive law, interpreted in Article 97 paragraph (5) of Law Number 40/2007 concerning Limited Liability Companies. A business decision by the Board of Directors that causes losses can sometimes be classified as a corporate crime, crimes which are committed by the corporation itself as well as individuals acting for and on behalf of the corporation. This study presents a discussion of cassation case that have been inkracht, involving Karen Agustiawan, an ex-President Director of PT Pertamina and other members of the Board of Directors who are prosecuted by the Public Prosecutor for business decisions that are considered as acts that constitute a criminal act of corruption. This research using the Juridical- Normative method with the Statue and Conceptual Approach aims to determine conception of the application of Business Judgement Rule in relation to business decisions classified as a corporate crime.
