Penelitian ini membahas tentang masalah RUPSLB ke-1 (satu) dan RUPSLB ke-2 (dua) yang tidak memenuhi kuorum. Perseroan kemudian melakukan permohonan penetapan kuorum RUPSLB ke Pengadilan Negeri. Permohonan tersebut ditolak karena tidak memenuhi syarat formil. Di tingkat kasasi, hakim menguatkan putusan Pengadilan Negeri, sehingga terjadi deadlock (kebuntuan). Deadlock tersebut mengakibatkan timbulnya implikasi kerugian bagi Perseroan Terbatas dan pihak ketiga (Bank). Perseroan Terbatas harus mencari jalan keluar (solusi) agar dapat menjual jaminan, yaitu antara lain dengan melakukan upaya hukum melalui proses ulang RUPSLB dengan prosedur RUPSLB harus berdasarkan ketetapan yang terdapat di UU PT, melakukan eksekusi atas jaminan dengan cara parate eksekusi, eksekusi jaminan dengan cara titel eksekutorial, eksekusi di bawah tangan. Metode penelitian ini menggunakan metode yuridis normatif. / This study discusses the issue of the 1st EGMS (one) and the 2nd EGMS (two) that do not meet the quorum. The Company then requests the determination of the EGMS (Extraordinary Meeting of Shareholders) quorum to the District Court. The application was rejected because it did not fulfil formal requirements. At the cassation level, the judge affirms the decision of the District Court, resulting in a deadlock. The deadlock resulted in the implications of losses for the Limited Liability Companies (LLC) and third parties (Banks). The LLC must find solutions in order to sell the mortgage, namely by making legal efforts through reprocessing the EGMS with EGMS procedures based on the provisions contained in the LLC Regulations/law, executing collateral by parate execution, guarantee execution by means of executorial title, execution beforehand. This research method uses a normative juridical method.
