In making decisions in the general meeting of shareholders there are weak/small group called minority shareholders. Usually the minority shareholders cannot do anything in the process of general meeting of shareholders especially in the making of some important decisions that very strategic for the future of the company. We all know that shareholders have the same and equal right. It means that the decisions in general meeting of shareholders must be made by considering the opinions of the minority shareholders. We have to realize that the minority shareholders always in the weak position. However, we do not have to disappoint, we have to think positively, because the majority shareholders will do the right things for the future of the company. The presence of the directors in a company is very strategic and very important because directors as an organ who run the company, so it can be referred that the directors is a trust organ for the company. In running the company, directors should do their job based on good cooperate governance system. Those who break the good cooperate governance system will be punished based on the company law
