Abstract

Tesis ini mengkaji kedudukan kreditor separatis dalam proses kepailitan setelah terjadinya perjanjian pengalihan piutang (cessie). Perjanjian cessie merupakan salah satu instrumen hukum yang sering digunakan dalam alternatif penyelesaian permasalahan kredit dalam perbankan, yang memungkinkan pemindahan hak piutang dari kreditor asli kepada pihak lain. Namun, dalam konteks kepailitan, kedudukan kreditor separatis yang memiliki hak istimewa yaitu jaminan kebendaan atas barang tertentu yang dijaminkan oleh debitor sering kali menjadi permasalahan, terutama setelah terjadinya cessie. Pada faktanya ada pertentangan antara kurator dengan kreditur separatis terkait pengalihan piutang terhadap debitur yang sudah dinyatakan pailit. Penelitian ini bertujuan untuk menganalisis bagaimana kedudukan dan legalitas dari kreditor separatis dalam proses kepailitan, serta bagaimana hak-hak mereka diperlakukan dalam proses hukum tersebut. Dalam penelitian ini, penulis menggunakan pendekatan normatif-empiris dengan studi kasus dan analisis regulasi yang ada, termasuk ketentuan dalam Undang-Undang Kepailitan. Hasil dari penelitian ini menunjukkan bahwa meskipun kreditor separatis baru yang memperoleh piutang melalui cessie setelah debitur dinyatakan pailit, kreditur separatis dapat tunduk dan mengikuti proses kepailitan yang berlangsung dan berhak menerima pembayaran atas penjualan jaminan tersebut. Penelitian ini juga merekomendasikan perlunya komunikasi yang baik dengan kurator sebelum adanya perjanjian pengalihan piutang, hal ini bertujuan agar adanya kejelasan hukum kepada para pihak agar proses kepailitan dapat berjalan secara adil dan transparan. / This thesis examines the position of secured creditors in bankruptcy proceedings after the occurrence of a debt transfer agreement (cessie). The cessie agreement is a legal instrument commonly used as an alternative solution to credit issues in banking, which allows the transfer of receivables from the original creditor to another party. However, in the context of bankruptcy, the position of secured creditors, who hold preferential rights in the form of collateral on specific assets pledged by the debtor, often becomes dispute between receiver and creditor especially after the occurrence of cessie. The study adopts normative-empirical research, using judicial case studies and an analysis of the existing regulations, including the provisions in the Bankruptcy Law. The results of this research show that, even though newly secured creditors who acquire receivables through cessie after the debtor has been declared bankrupt, these creditors are still subject to and must follow the ongoing bankruptcy process, and they are entitled to receive payment from the sale of the collateral. This study also recommends the need for sends notification letter to the receiver before conducting a debt transfer agreement, In order to provide legal clarity to the parties involved, ensuring that the bankruptcy process can proceed in a fair and transparent manner.
