Abstract
Penelitian ini mengkaji secara mendalam mengenai kedudukan hukum dan tanggung jawab dalam tahap prakontrak, yang saat ini belum diatur secara eksplisit dalam Kitab Undang-Undang Hukum Perdata (KUHPerdata) Indonesia. Tahap prakontrak mencakup berbagai proses penting, seperti negosiasi, pembuatan Nota Kesepahaman (MoU), studi kelayakan, serta negosiasi lanjutan yang bertujuan untuk mencapai kesepakatan kontrak. Namun, kekosongan hukum terkait tanggung jawab prakontraktual di Indonesia menciptakan ketidakpastian hukum dan potensi kerugian bagi pihak yang dirugikan. Dengan menggunakan pendekatan komparatif terhadap sistem hukum common law dan civil law, penelitian ini menganalisis penerapan doktrin-doktrin penting seperti culpa in contrahendo, promissory estoppel, dan asas itikad baik dalam konteks prakontrak. Hasil penelitian menunjukkan bahwa sistem hukum Indonesia saat ini belum membedakan dengan jelas antara pembentukan kontrak dan keabsahan kontrak, yang berimplikasi pada lemahnya perlindungan hukum di tahap prakontrak. Sebagai perbandingan, negara-negara seperti Belanda, Jerman, Inggris, dan Amerika Serikat telah memberikan perlindungan hukum yang lebih kuat sejak tahap prakontrak melalui penerapan doktrin-doktrin tersebut. Penelitian ini merekomendasikan adanya reformasi hukum kontrak di Indonesia dengan mengakui secara eksplisit tahap prakontrak dan menerapkan asas itikad baik, sebagaimana diusulkan dalam Naskah Akademik RUU Hukum Kontrak tahun 2013. Dengan demikian, diharapkan akan tercipta kepastian hukum yang lebih baik dan perlindungan yang lebih efektif bagi pihak-pihak yang terlibat dalam proses prakontrak. /
This research examines in depth the legal position and responsibilities in the pre-contract stage, which is currently not explicitly regulated in the Indonesian Civil Code. The pre-contract stage includes various important processes, such as negotiations, making a Memorandum of Understanding (MoU), feasibility studies, and further negotiations aimed at reaching a contract agreement. However, the legal vacuum regarding pre-contractual liability in Indonesia creates legal uncertainty and potential losses for the injured party. Using a comparative approach to the common law and civil law legal systems, this study analyzes the application of important doctrines such as culpa in contrahendo, promissory estoppel, and the principle of good faith in the pre-contractual context. The results show that the current Indonesian legal system does not clearly distinguish between contract formation and contract validity, which has implications for the lack of legal protection at the pre-contract stage. In comparison, countries such as the Netherlands, Germany, the United Kingdom and the United States have provided stronger legal protection from the pre-contract stage through the application of these doctrines. This research recommends reforming contract law in Indonesia by explicitly recognizing the pre-contract stage and applying the principle of good faith, as proposed in the Academic Paper of the Contract Law Bill in 2013.
