Abstract
The ever-increasing need for housing and the limited ability for people to buy houses have encouraged developers to create agreements with banks to provide home loan for the people. Banks will carry out analysis upon those who applied for home loans and will need collaterals from them or the borrowers. Often times, the houses are still in the process of building and the land certificate have not been divided into individual certificates for each houses, thus instead of signing deed of Sale And Purchase, a Binding Sale And Purchase Agreement is signed between the developer and the buyer, followed by the signing of Loan Agreement and the Deed Of Transfer Of Rights And Power Of Attorney To Sell Land and Building between the borrower and the bank. This thesis will analyze the legal standing of the Deed Of Transfer Of Rights And Power Of Attorney To Sell Land And Building whose individual certificate is not yet issued as a bank’s collateral and its’ execution in case of default. Analysis is done by using juridical normative method with descriptive analysis and by using statutory approach, conceptual approach and case study. As a result of the analysis, it is concluded that apart from weaknesses in terms of its’ content, the Deed Of Transfer Of Rights And Power Of Attorney To Sell Land And Building do not provide sufficient coverage for the bank as the loan giver in case of default as the deed is not considered as a material security nor as a personal guarantee, thus the bank as the loan giver does not have a preferred right upon the collateral’s execution. / Meningkatnya kebutuhan untuk rumah tinggal dan keterbatasan daya beli masyarakat telah mendorong perusahaan pengembang untuk menjalin kerjasama dengan bank dalam bentuk pembiayaan fasilitas Kredit Kepemilikan Rumah. Dalam pemberian kredit, tentunya bank akan melakukan analisis terhadap calon debitur dan memerlukan suatu jaminan untuk memastikan terbayarnya dengan baik pinjaman yang diberikan. Karena rumah yang akan dibeli seringkali masih dalam proses pembangunan dan belum terbit sertipikat pecahannya sehingga belum dapat dilakukan jual beli, maka pada umumnya dibuatkan Akta Perjanjian Pengikatan Jual Beli antara perusahaan pengembang dengan pembeli dan Akta Perjanjian Kredit serta Akta Pengoperan Hak Dan Kuasa Menjual Menjual antara debitur dengan bank. Penulisan tesis ini akan meneliti dan membahas tentang kedudukan Akta Pengoperan Hak Dan Kuasa Menjual atas tanah dan bangunan yang belum terbit sertipikat pecahannya sebagai jaminan bank serta penyelesaian pelaksanaannya dalam hal debitur wanprestasi. Penelitian ini menggunakan metode yuridis normatif yang bersifat deskriptif analitik dengan menggunakan pendekatan undang-undang, pendekatan konseptual dan studi kasus. Dari hasil penelitian tersebut dapat disimpulkan bahwa Akta Pengoperan Hak Dan Kuasa Menjual, selain memiliki kelemahan dari segi isinya, juga kurang memberikan perlindungan kepada bank selaku kreditur dalam hal debitur wanprestasi karena tidak termasuk dalam golongan jaminan kebendaan maupun perorangan yang memberikan hak preferen kepada bank serta kurangnya pengaturan mengenai tata cara eksekusi jaminan.
