Abstract
The relationship between the MNC and the host state has been evolving in its complexity, particularly in extractive industries where the investments are long-term. This thesis examines the renegotiation process between PT Freeport Indonesia (PTFI) and the Government of Indonesia during the period of 2017–2024, focusing on the determinants that led to the renegotiation and its implications for Freeport’s operations. Utilizing a qualitative approach and grounded in theories of realism, the Obsolescing Bargain Model, and Susan Strange’s structural power framework, this research analyzes how power dynamics shifted between the state and an MNC over time. The study finds that while PTFI initially held substantial bargaining power due to its technological expertise and long-term investment, the Indonesian state gradually reversed this dynamic by leveraging regulatory reforms, ownership mandates, and strategic downstream policies. The renegotiation culminated in the state’s acquisition of a 51% ownership stake in PTFI and the transformation of its Contract of Work (CoW) into a Special Mining License (IUPK)—providing economic and political gains for the country. The most affected MNC bargaining leverage is its contribution towards welfare and employment, product differentiation comes second as it is moderately impacted, and the least impacted is their sophisticated technology. However, future implications would be seeing a reduced strength for these determinants as the government has plans of acquising 10% more of its ownership and the gradual transfer knowledge between firms within MIND ID./Hubungan antara MNC dan negara tuan rumah telah berkembang dalam kompleksitasnya, terutama di industri ekstraktif di mana investasinya bersifat jangka panjang. Penelitian ini mengkaji proses renegosiasi antara PT Freeport Indonesia (PTFI) dan Pemerintah Indonesia selama periode 2017–2024, dengan fokus pada penentu yang mengarah pada renegosiasi dan implikasinya terhadap operasional Freeport. Memanfaatkan pendekatan kualitatif dan didasarkan pada teori realisme, Obsolescing Bargaining Model (OBM), dan kerangka kerja Structural Power Susan Strange, penelitian ini menganalisis bagaimana dinamika kekuasaan bergeser antara negara dan MNC dari waktu ke waktu. Studi ini menemukan bahwa sementara PTFI awalnya memegang daya tawar yang substansial karena keahlian teknologi dan investasi jangka panjangnya, negara Indonesia secara bertahap membalikkan dinamika ini dengan memanfaatkan reformasi peraturan, mandat kepemilikan, dan kebijakan hilir strategis. Negosiasi ulang memuncak pada akuisisi 51% saham kepemilikan negara di PTFI dan transformasi Kontrak Kerja (CoW) menjadi Izin Pertambangan Khusus (IUPK)—memberikan keuntungan ekonomi dan politik bagi negara. Pengaruh tawar-menawar MNC yang paling terpengaruh adalah kontribusinya terhadap kesejahteraan dan lapangan kerja, diferensiasi produk berada di urutan kedua karena terkena dampak sedang, dan yang paling tidak terkena dampak adalah teknologi canggih mereka. Namun, implikasi di masa depan akan melihat kekuatan PTFI berkurang ukarena pemerintah memiliki rencana untuk mengakuisisi 10% lebih banyak kepemilikannya dan juga proses transfer pengetahuan secara bertahap antara perusahaan dalam MIND ID.
