Abstract

This research examines the process of acquiring Building Use Rights (HGB) by a Limited Liability Company (PT) over land with Ownership Rights (Hak Milik) status in Indonesia, with a case study of District Court Decision of Cibinong No. 444/Pdt.G/2023/PN Cbi. The primary objective of this research is to provide a comprehensive understanding of the relevant regulations under Indonesian Agrarian Law, especially the restrictions on Limited Liability Companies (PT) in owning Ownership Rights (Hak Milik) over land, and the alternatives available for land acquisition. This study uses normative research methods, drawing from statutory regulations, legal doctrines, and case studies to analyze the legal framework. The core issue addressed is that according to Indonesian Agrarian Law (UUPA), PTs are prohibited from owning land under Ownership Rights (Hak Milik). As a solution, these companies may acquire Building Use Rights (HGB), which is explained in this research through the steps of legal due diligence/Certificate Verification, the execution of a Sale and Purchase Binding Agreement (PPJB), the signing of a Deed of Release of Rights (APH), and the subsequent registration of these rights at the Land Office. The research then analyzes whether the judicial decision in the District Court Decision of Cibinong No. 444/Pdt.G/2023/PN Cbi complies with the applicable laws, focusing on the enforcement of the APH signing without compensation and the discovery of two APHs months before the PPJB signing. The Court concluded that the sellers of the land should regain their ownership rights, and the company must return the land to its original form, as the PPJBs and APHs were deemed null and void. This study highlights the complexities and legal processes involved in acquiring HGB in Indonesia and offers insights into the interpretation and enforcement of Indonesian Agrarian Law. The results show the importance of due diligence and strict adherence to legal processes to prevent potential legal disputes in land transactions.
