Abstract
Perlindungan rahasia dagang adalah salah satu prioritas utama bagi pengusaha. Salah satu peluang kebocoran tersebut dapat dilakukan oleh mantan karyawan yang bekerja di perusahaan kompetitor. Kebocoran rahasia dagang apalagi kepada kompetitor adalah suatu hal yang sangat fatal untuk keberlangsungan suatu perusahaan. Namun, hingga saat ini Undang-Undang Nomor 30 Tahun 2000 tentang Rahasia Dagang hanya memberikan perlindungan hukum secara represif atas pelanggaran rahasia dagang tersebut. Ketentuan tersebut belum mengakomodir upaya preventif guna perlindungan rahasia dagang. Oleh sebab itu, klausul non-kompetisi dapat dijadikan sebagai upaya preventif dalam melindungi rahasia dagang. Metode penelitian yang digunakan adalah pendekatan yuridis normatif dengan pengumpulan data melalui studi kepustakaan terhadap bahan hukum primer, sekunder, dan tersier. Hasil penelitian menunjukkan bahwa penggunaan klausul non kompetisi dapat dipandang sebagai langkah yang efektif guna perlindungan rahasia dagang. Akan tetapi klausul ini juga dapat dipandang bertentangan dengan Pasal 31 Undang-Undang Ketenagakerjaan. Pasal ini secara eksplisit menyatakan bahwa setiap tenaga kerja berhak untuk memilih, mendapatkan, dan berpindah pekerjaan, serta berhak memperoleh penghasilan yang layak baik di dalam maupun di luar negeri tanpa adanya diskriminasi atau hambatan yang tidak beralasan. Impilikasi dalam penerapan klausul non kompetisi ini menjadi perdebatan karena hingga saat ini belum terdapat aturan yang dapat menjadi legitimasi konkret dari penerapan klausul ini. Hingga saat ini masih terdapat kekosongan hukum terhadap pengaturan mengenai klausul non-kompetisi; sehingga menimbulkan ketidakpastian hukum. Selain itu, klausul non-kompetisi secara substansi memiliki potensi yang besar untuk menjadi alat pelindung rahasia dagang yang efektif. / Trade secret protection is one of the top priorities for entrepreneurs. One of the opportunities for such leaks can be carried out by former employees who work at competitor companies. Leaks of trade secrets, especially to competitors, are extremely detrimental to the survival of a company. However, to date, Law No. 30 of 2000 on Trade Secrets only provides repressive legal protection against violations of trade secrets. These provisions have not accommodated preventive measures for the protection of trade secrets. Therefore, non-competition clauses can be used as a preventive measure to protect trade secrets. The research method used is a normative legal approach with data collection through literature review of primary, secondary, and tertiary legal materials. The research results indicate that the use of non-competition clauses can be considered an effective measure for protecting trade secrets. However, this clause may also be seen as conflicting with Article 31 of the Labor Law. This article explicitly states that every worker has the right to choose, obtain, and change jobs, as well as the right to earn a decent income both domestically and abroad without discrimination or unreasonable obstacles. The implications of applying non-competition clauses are controversial because, to date, there are no regulations that can serve as concrete justification for the application of these clauses. Currently, there is a legal vacuum regarding regulations on non-competition clauses, leading to legal uncertainty. Additionally, non-competition clauses have significant potential to serve as an effective tool for protecting trade secrets.
