Abstract
Penanaman modal merupakan faktor utama pembangunan ekonomi di Indonesia.,Indonesia memiliki potensi sumber daya alam dan menjadi incaran dari investor dalam negeri maupun luar negeri untuk menanamkan modalnya di Indonesia. Pemerintah mempertegas kebijakan dasar bagi penanaman modal sebagai prinsip demokrasi yang menciptakan kedaulatan ekonomi bagi masyarakat dengan menciptakan iklim penanaman modal yang kondusif, memberikan kepastian hukum, keadilan, dan efisien dengan tetap memperhatikan kepentingan ekonomi dengan menjamin kepastian hukum, kepastian berusaha, dan keamanan berusaha bagi penanam modal sejak proses pengurusan perizinan sampai dengan berakhirnya kegiatan penanaman modal sesuai dengan ketentuan peraturan perundang-undangan. Istilah grandfather clause yang sebenarnya merupakan pasal peralihan. Bertujuan untuk melindungi penanam modal khususnya penanam modal asing tidak perlu khawatir untuk menjalankan usahanya meskipun ada pengaturan di dalam peraturan pelaksana yang lebih restriktif/tertutup bagi bidang usaha yang dijalankannya. Amanat demokrasi pada penanaman modal tidak berjalan seiring dnegan ditetapkannya pengaturan divestasi bagi penanam modal yang sudah alam berada di Indonesia. Kepastian hukum bagi pemangku grandfather clause juga menjadi polemik seiring dikeluarkannya peraturan baru dari pemerintah, sehingga menjadi satu oposisi terhadap yang diamanatkan dalam undang-undang penanaman modal dan peraturan pelaksanya. / Investment is a major factor in economic development in Indonesia. Indonesia has the potential of natural resources and is the target of domestic and foreign investors to invest in Indonesia. The government emphasizes basic policies for investment as a democratic principle that creates economic sovereignty for the community by creating a conducive investment climate, providing legal certainty, justice, and efficiency while taking into account economic interests by ensuring legal certainty, business certainty, and business security for investors capital from the licensing process until the end of investment activities in accordance with statutory provisions. The term grandfather clause is actually a transitional article. Aiming to protect investors, especially foreign investors, do not have to worry about running their business even though there are regulations in implementing regulations that are more restrictive / closed to the business sectors they run. The mandate of democracy in investment does not go hand in hand with the stipulation of divestment arrangements for investors who are already in Indonesia. Legal certainty for grandfather clause holders also becomes a polemic as new regulations are issued from the government, thus becoming an opposition to what is mandated in the investment law and implementing regulations.
