Abstract

Penelitian ini bertujuan untuk menganalisa bagaimana implementasi peraturan-peraturan pemberian sanksi administratif berupa denda atas keterlambatan pemberitahuan pengambilalihan saham berlaku dalam putusan Komisi Pengawas Persaingan Usaha. Latar belakang penulisan ini disebabkan masih banyak ditemukan kasus-kasus keterlambatan pemberitahuan pengambilalihan saham perusahaan yang merupakan pelanggaran Pasal 29 undang-undang nomor 5 tahun 1999 tentang Larangan Praktik Monopoli dan Persaingan Usaha Tidak Sehat. Jenis penelitian ini termasuk penelitian hukum yuridis normatif dengan sifat penelitian deskriptif analitis. Analisis dilakukan dengan pendekatan perundang-undangan, konseptual dan kasus dalam beberapa putusan KPPU. Jenis data penelitian adalah data sekunder dengan bahan hukum primer, sekunder dan tersier. selain itu dilakukan pula wawancara dengan narasumber yang dipilih. Hasil penelitian menunjukkan bahwa implementasi peraturan pemberian sanksi administratif berupa denda atas keterlambatan pemberitahuan pengambilalihan saham perusahaan dalam putusan komisi pengawas persaingan usaha secara umum telah sesuai dengan peraturan yang berlaku. Namun penentuan pemberian besaran keringanan denda yang bervariatif dan jauh dari jumlah denda maksimal menyebabkan tujuan pemberian sanksi, khususnya untuk memberikan efek jera dan mewujudkan kepastian hukum dalam pelaksanaan aturan hukum persaingan usaha, sulit tercapai. / This study aims to analyze how the implementation of administrative sanctions regulations in the form of fines for late take over notification of company shares applies in the verdict of Indonesia Competition Commission. The background of this writing is because there are still many cases of late take over notification of company shares which is a violation of Article 29 of Law number 5 of 1999 concerning the Prohibition of Monopolistic Practices and Unfair Business Competition. This type of research includes normative juridical legal research with analytical descriptive. The research approach uses a statutory, conceptual approach and case approach in several KPPU verdict. In addition, interviews were also conducted with selected speakers. The results showed that the implementation of administrative sanctions in the form of fines for late takeover notification of company shares in the verdict of Indonesia Competition Commission in general was in accordance with applicable regulations. However. The determination of granting of a varied amount of fine relief and far from the maximum amount of the fine caused the purpose of sanctions in particular to provide a deterrent effect and legal certainty in the implementation of business competition law is difficult to achieve.
