Advances in technology make people step forward in the way of thinking and acting. It is based on the general principle that the majority of human beings mostly want to achieve the goal of their life in a short time (instantly). On that basis, the Ministry of Law and Human Rights fulfill human needs in the economic aspects from the policy of General Law Administration online system (known as "AHU online system") to faciliate people for doing their business. The form of business entity that is most widely used today and for the foreseeable future is a Limited Liability Company (knows as "PT"). AHU online system which is provided by the Ministry of Law and Human Rights in practice has advantages and disadvantages. One of the advantages of AHU online system is enable people to carry out the process of the establishment of PT. The process of ratification PT as a legal entity only takes approximately 7 (seven) minutes and the entire process is done by online, so there is no face-to-face method with officials to avoid the illegal charges. On the other side, the shortcomings of AHU online system which only takes several minutes can cause problems resulting in losses for certain parties. The reason is because those who feel aggrieved, do not have time to make objection. The one who aggrieved is minority shareholders. The position of each shareholders of PT must be considered, including minority shareholders who are based on the percentage of share has a weak position. Therefore, AHU online system in Ministry of Law and Human Rights Republic of Indonesia should consider the interests of all parties. This led the perceived need of administrative sanctions for parties who filed an objection, but cannot prove it. Thus, the administrative sanctions become an alternative way to protect the interests of all parties.
