Abstract

Tesis ini membahas mengenai Perseroan Terbatas yang tidak melakukan Rapat Umum Pemegang Saham Tahunan (RUPS Tahunan) dalam beberapa tahun, saat ini masih banyak Perseroan yang sering melalaikan RUPS Tahunan, yang mana RUPS Tahunan wajib dilaksanakan bagi setiap Perseroan berdasarkan aturan yang ada dalam Undang Undang Nomor 40 tahun 2007 tentang Perseroan Terbatas, rumusan masalah dalam penelitian ini adalah, akibat hukum bagi Perseroan Terbatas yang tidak melaksanakan RUPS Tahunan secara beturut turut dalam beberapa tahun serta akibat hukum bagi Direksi dan Dewan Komisaris yang lalai melakukan pemanggilan RUPS Tahunan, jenis penelitian dalam tesis ini adalah Yuridis Normatif, jenis data yang digunakan dalam penelitian ini adalah Data Sekunder,cara perolehan data menggunakan studi kepustakaan, Pendekatan yang digunakan dalam penelitian ini adalah pendekatan undang- undang dan juga konseptual,Analisa yang digunakan dalam penulisan tesis ini adalah deduktif kualitatif, Hasil penelitian dalam tesis ini adalah jika suatu Perseroan tidak melakukan RUPS Tahunan dalam beberapa tahun, maka laporan Perseroan tidak dapat disahkan,Direksi dan Komisaris masih harus bertanggung jawab atas laporan – laporan yang belum disahkan tersebut, jika Perseroan tidak melaksanakan RUPS Tahunan berarti Perseroan tersebut melalaikan praktik Good Corporate Governance, dengan tidak terlaksananya RUPS Tahunan, Direksi dan Dewan Komisaris tidak dapat diberikan acquit de charge (pembebasan tanggung jawab), sehingga Direksi dan Komisaris masih harus bertanggung jawab atas laporan yang belum disahkan dalam RUPS Tahunan dan masih dapat dituntut oleh Pemegang Saham atas kinerjanya. / This thesis discusses about limited company which don’t do the Annual General Meeting of shareholders in a few years, there are still many companies that often neglect the Annual General Meeting Shareholders, which General Meeting of shareholders it’s a must for every limited company bye Indonesia Company Law, the problem will be discussed in this thesis is, legal consequences for Limited Liability Companies that don’t do Annual General Meeting of Shareholders in a few years and the legal consequences for Directors and Commissioners who negligent to call an Annual General Meeting of Shareholders, the type of research in this thesis is Normative Juridicial, data used in this thesis is secondary data, and data is collected by using literature study, also this thesis used law and conceptual approach, for analysis in thesis used deductive qualitative, research results in this thesis are, if a company don’t do Annual General Meeting of Shareholders in a few years, the company report can’t be authorized, and the Directors must still be responsible for the company reports which has not been authorized, also if the company don’t do Annual General Meeting of Shareholders, it means that the company neglected the practice of Good Corporate Governance, then the Annual General Meeting of shareholders can’t be implemented The Directors and Commisioners can’t be given an acquit de charge (discharge of responsibility), so the Directors and Commissioners must still be responsible for reporting which has not been authorized in the Annual General Meeting of shareholders and still can be sued by the Shareholders for their performance.
