Jual beli saham adalah peristiwa lumrah yang terjadi pada zaman bisnis modern ini. Peristiwa ini melibatkan dua atau lebih subjek hukum, maka akan ada kemungkinan muncul permasalahan/konflik. Kurangnya pemahaman terhadap pengaturan apakah transaksi jual beli saham dapat dikatakan sah apabila dilakukan dibawah tangan dan/atau apakah transaksi jual beli saham dapat dikatakan sah apabila dilakukan tanpa persetujuan Rapat Umum Pemegang Saham. Transaksi jual beli saham yang dilakukan tanpa melihat pengaturan dari anggaran dasar perseroan dan ketentuan yang diatur dalam Undang-Undang dapat merugikan transaksi jual beli saham tersebut. Penelitian ini bertujuan untuk (1) mengkaji dan menganalisis jual beli saham yang dibuat secara dibawah tangan, (2) mengkaji dan menganalisis jual beli saham yang dibuat dengan tanpa persetujuan dari Rapat Umum Pemegang Saham. Penelitian ini merupakan penelitian kualitatif dengan menggunakan metode yuridis normatif serta analisis yang digunakan adalah analisis induktif. Dari hasil penelitian tersebut, disimpulkan bahwa (1) Jual beli saham yang dibuat secara dibawah tangan dapat dinyatakan sah sepanjang memenuhi syarat sahnya Perjanjian; dan tidak mengakibatkan perubahan pengendalian dalam Perseroan.(2) Jual beli saham yang dibuat dengan tanpa persetujuan dari Rapat Umum Pemegang Saham dapat dinyatakan sah sepanjang jual beli saham tersebut tidak mengakibatkan perubahan pengendalian Perseroan dan tidak diatur dalam anggaran dasar perseroan tersebut. / Buying and selling shares is a common occurrence in this modern business era. This event involves two or more legal subjects, so there will be the possibility of problems / conflicts arising. Lack of understanding on the regulation of whether a share sale and purchase transaction can be said to be valid if it is carried out under the hands and / or whether a share sale and purchase transaction can be considered valid if it is carried out without the approval of the General Meeting of Shareholders. Share sale and purchase transactions carried out without considering the provisions of the company's articles of association and the provisions stipulated in the Law may be detrimental to the share sale and purchase transaction. This study aims to (1) examine and analyze the sale and purchase of shares made under the hands, (2) study and analyze the sale and purchase of shares made without the approval of the General Meeting of Shareholders. This research is a qualitative research using normative juridical methods and the analysis used is inductive analysis. From the results of the research, it is concluded that (1) The sale and purchase of shares made under hand can be declared valid as long as it meets the validity conditions of the Agreement; and does not result in a change in control in the Company. (2) The sale and purchase of shares made without the approval of the General Meeting of Shareholders may be declared valid as long as the sale and purchase of shares does not result in a change in control of the Company and is not regulated in the articles of association of the company.
