Abstract

The bank has a business field of collecting funds from community and then redistribute it to community, in which the redistributions of fund is conducted by applying a prudent principles and also with the provision of providing collateral. When a debtor experiences a default, one of the ways to settle the liabilities to be taken by the Bank is to voluntarily hand over assets from the debtor to the bank or commonly known as Foreclosed Collateral (hereinafter referred as AYDA). Henceforth, to guarantee the implementation of asset transfer of AYDA to run accordingly and to avoid, or at the very least, mitigate and reduce the risk if in the future there is an actio pauliana lawsuit from the curator or other creditors, thus the aforementioned case becomes captivating to study. The issue to be examined here is about how the debtor settlement mechanism runs through the AYDA scheme by voluntarily hand over the collateral in accordance with banking regulations and practices and how the legal standing for banks that have received debt repayment with a voluntary hand over of asset (foreclosed asset) scheme against the risk of actio pauliana according to Bankruptcy Act. In this study, the author applies the normative legal research method, whereas the collection of data is conducted by using statute approach. Voluntary asset (collateral) transfer mechanism to the bank as the preferred creditor, is carried out by the signing of the Sale and Purchase Binding Agreement (hereinafter referred as PPJB) and other deeds. But in practice, bank have never sign the deed of Purchase and Sales (hereinafter referred as AJB) and carry out the transfer of title, with the consideration of saving costs and speeding up the process of transferring assets. To avoid or mitigate the risk of the bank from actio pauliana lawsuit, therefor to ensure the legal certainty of the bank as the preferred creditor upon the repayment of debts of its debtors with a voluntary asset hand over settlement scheme, the bank must immediately sign the AJB and carry out the transfer of title of the collateral at the relevant agency/institution. / Bank mempunyai bidang usaha menghimpun dana masyarakat untuk kemudian meyalurkannya kembali kepada masyarakat, hal mana tentunya didalam menyalurkannya tentu dengan memperhatikan prinsip kehati-hatian dan juga dengan disertai pemberian jaminan. Ketika debitur mengalami gagal bayar maka salah satu cara penyelesaian kewajiban yang ditempuh oleh bank adalah dengan melakukan penyerahan aset dari debitur kepada bank secara sukarela atau biasa dikenal sebagai Agunan Yang Diambil Alih (AYDA). Untuk menjamin pelaksanaan penyerahan aset dalam rangka AYDA tersebut agar berjalan dengan lancar dan terhindar dari/ paling tidak memitigasi dan mengurangi resiko bilamana dikemudian hari terdapat gugatan Actio Pauliana dari kurator atau kreditur lainnya, menjadi menarik bagi penulis untuk diteliti. Permasalahan yang hendak dikaji disini adalah mengenai bagaimana mekanisme penyelesaian utang debitur melalui AYDA dengan cara penyerahan agunan secara sukarela sesuai dengan peraturan dan praktek perbankan serta bagaimana kepastian hukum bagi bank yang telah menerima pelunasan utang dengan skema penyerahan aset secara sukarela atas resiko Actio Pauliana menurut UndangUndang Kepailitan dan Penundaan Kewajiban Pembayaran Utang. Dalam penelitian ini penulis menggunakan metode penelitian hukum normatif dimana pengumpulan data dilakukan dengan menggunakan pendekatan perundang-undangan. Mekanisme penyerahan aset secara sukarela kepada bank selaku kreditur preferen, dilakukan dengan penandatanganan Perjanjian Pengikatan Jual Beli (PPJB) dan akta-akta lainnya. Namun dalam prakteknya bank tidak melanjutkannya dengan menandatangani Akta Jual Beli (AJB) dan melakukan balik nama, dengan pertimbangan untuk menghemat biaya dan mempercepat proses pengalihan aset. Untuk menghindari atau memitigasi resiko bank dari tuntutan actio pauliana, maka untuk menjamin kepastian hukum bank selaku kreditur preferen atas pelunasan utang debiturnya dengan skema penyelesaian asset secara sukarela, bank harus segera melakukan penandatanganan AJB dan balik nama atas jaminan tersebut ke instansi terkait.
