Abstract

Indonesia adalah negara yang memiliki potensi pasar yang sangat besar. Tingginya populasi yang ditunjang dengan daya beli masyarakat yang besar, dengan melihat pula pada bentangan luasan wilayah negara menjadikannya target pasar yang menjanjikan bagi investor. Berbagai upaya-upaya investasi hadir dari para investor asing yang terdiri dari berbagai skema usaha yang didukung dengan berbagai paket kebijakan yang diterbitkan Pemerintah. Salah satu skema usaha yang menarik minat dan menjanjikan bagi investor asing adalah skema usaha franchise. Skema usaha franchise merupakan salah satu pilihan untuk menjadi pintu investasi karena memberikan berbagai keuntungan, baik dari sisi investor sebagai franchisor, dan sisi franchisee. Namun demikian, besarnya minat dan laju usaha melalui skema usaha ini menimbulkan berbagai macam kendala dan hambatan saat pelaksanaan di lapangan. Penelitian ini menggunakan penelitian hukum normatif yang didukung dengan kajian empiris dengan pendekatan undang-undang dan komparatif. Kesimpulannya adalah, pelaksanaan peraturan perundang-undangan atas skema usaha franchise belum berjalan efektif dan efisien. Pada prakteknya hambatan dan kendala timbul saat pelaksanaan karena lemahnya substansi regulasi, dan kelembagaan hukum beserta aparatur pelaksananya. UU No. 7 Tahun 2014 tentang Perdagangan sebagai peraturan perundangan utama kegiatan perdagangan nasional tidak mengatur ketentuan mengenai penyelenggaraan skema usaha franchise karena franchise hanya diatur dalam UU No. 20 Tahun 2008 Tentang Usaha Mikro, Kecil dan Menengah sebagai salah satu jenis pola kemitraan. Tidak adanya landasan hukum bagi skema usaha franchise dalam UU Perdagangan membuat sistem hukum yang mendukung skema usaha franchise menjadi tidak efektif, tidak utuh dan komprehensif karena tidak mencakup semua pemangku kepentingan. Lebih dari itu, kendala di tingkat pelaksanaan juga timbul karena tidak memadainya kapasitas dan kemampuan sumber daya manusia di Kementerian Perdagangan. Dengan demikian, diperlukan adanya undang-undang khusus yang mengatur mengenai franchise, yang disusun secara linear dengan UU Perdagangan / Indonesia is a huge market for foreign investment. The high number of population as supported by significant buying power of the people, by also considering the breadth of country has made Indonesia a very promising market for foreign investor. A number of investment initiatives have been set from foreign investors under different lines of business, which have also been supported by various policy packages by the government. One of the promising business schemes is the franchising scheme. Franchising scheme became on the top choices for investments as it provides a number of benefit, both for the investor who acts as the franchisor and the franchisee. Despite this, such significant interest and business growth through this scheme has brough several problems and challenges in practice. This research used normative legal approach, supported by empirical analysis and adopted the Statute and Comparative Approach. In summary, regulations for franchising scheme has not yet effectively and effectively implemented. In practice, those identified problems and challenges occurred due the insufficient legal substance and legal structure involved. Law No. 7 Of 2002 on Trade that serves as the main legislation for national trade does not yet provide any provisions on the implementation of franchising scheme as this scheme is only regulated under Law No. 20 Of 2008 on Micro, Small and Medium Entrprises as part of partnership scheme. The absence of legal ground for franchising scheme has led to ineffective, inadequate and incomprehensive implementation of the law as they fail to include the interest of all stakeholders. Furthermore, the challenges encountered on the implementation level are caused by the insufficient capability of the Ministry of Trade officials. Taking these into consideration, it is apparent that there is a necessity to issue a law that specifically regulate and address franchising scheme, which should be in line with the provisions under the Trade Law.
