Abstract

Pengaturan mengenai akuisisi aset perseroan terbatas dari segi hukum persaingan usaha di Indonesia baru dimulai pada saat diberlakukannya Undang-Undang Nomor 5 Tahun 1999 tentang Larangan Praktik Monopoli dan Persaingan Usaha Tidak Sehat. Tepatnya, sejak ditransaksikan pengambilalihan aset Uber oleh Grab dalam kesepakatan Merger dan Akuisisi (M&A) terbesar di Asia Tenggara di tahun 2018 lalu. CCCS selaku otoritas pengawas anti-kompetisi di Singapura berhasil “menjaring” kedua perusahaan giant Grab dan Uber yang terbukti melanggar hukum persaingan usaha yang berlaku dengan menjatuhkan sanksi finansial dan penetapan arahan-arahan tertentu dalam rangka pemulihan (remedies) setelah berlangsungnya transaksi M&A tersebut. Lain halnya dengan Indonesia yang pada saat itu belum memiliki pengaturan mengenai akuisisi atas aset perseroan terbatas sehingga terjadi kekosongan hukum karena KPPU sebagai otoritas pengawas anti-kompetisi di Indonesia tidak memiliki landasan hukum untuk melakukan tindak lanjut atas akuisisi tersebut. Penelitian ini dilakukan untuk menganalisis akuisisi aset perseroan terbatas menurut hukum persaingan usaha yang berlaku di Indonesia dan perbandingannya dengan Singapura. Metode Penelitian yang digunakan adalah metode Penelitian yuridis normatif yang bersifat deskriptif analitis. Hasil Penelitian menunjukkan bahwa akuisisi aset perseroan terbatas dari segi hukum persaingan usaha di Indonesia sudah ada pengaturannya. Namun, pengaturan akuisisi aset secara khusus masih dalam bentuk peraturan yang dikeluarkan oleh KPPU. Maka disarankan agar pengaturan mengenai akuisisi aset ini dapat dikembangkan lebih lanjut dalam bentuk Undang-Undang dan KPPU dapat diberikan wewenang dengan cakupan yang lebih luas untuk bertindak dengan fleksibilitas yang cukup untuk menangani berbagai permasalahan persaingan usaha yang ada. / The regulations surrounding the acquisition of limited liability company assets from the perspective of business competition law in Indonesia only began when Law Number 5 of 1999 concerning Prohibition of Monopolistic Practices and Unfair Business Competition was enacted. To be precise, since the takeover of Uber's assets by Grab was transacted in the largest Merger and Acquisition (M&A) agreement in Southeast Asia in 2018. CCCS as the anti-competition supervisory authority in Singapore succeeded in "catching" the two giant companies, Grab and Uber, which were proven to have violated applicable business competition laws by imposing financial sanctions and establishing certain directions in the framework of remedies after the M&A transaction took place. It was different with Indonesia, which at that time did not yet have regulations regarding the acquisition of limited liability company assets, resulting in a legal vacuum because the KPPU as the anti-competition supervisory authority in Indonesia did not have a legal basis to take action on the acquisition. This research was conducted to analyze the acquisition of limited liability company assets according to business competition law in force in Indonesia and its comparison with Singapore. The research method used is a normative juridical research method that is descriptive analytical. The research results show that the acquisition of limited liability company assets in terms of business competition law in Indonesia has already been regulated. However, the regulations governing asset acquisition are still in the form of regulations issued by KPPU. It is therefore suggested that the regulation regarding asset acquisition can be further developed in the form of Law / Act and KPPU can be given authority with a wider scope to act with sufficient flexibility to deal with various existing business competition problems.
