Abstract

Syndication credit generally be given by one or more creditor which have same interest to finance working capital debtor in largest amount and creditor can t finance alone the working capital of debtor because creditor is should be comply with lending limit as regulation from Bank Indonesia, therefore creditor should be finance the largest amount debtor together with other bank with same terms and conditions including collateral to given their credit to be made by notarial deed. On the syndication credit agreement is have one parties and called as facility agent which appointment by all of creditor and approved by debtor. Facility agent have important function as parties to facilitate of interest from all parties which is debtor and all of creditor with function to manage and administer all of documents including terms and conditions on the syndication credit agreement. Facility agent act on the basis of power and authority that given by all of creditor to run things that are administrative such as doing monitoring to all provisions that have been set on the syndication credit agreement, monitoring the fulfillment of debtor obligation in accordance with the prescribed schedule and no delay. The business world continues to turn and sometimes unpredictable which does not rule out the possibility of debtor is experiencing financial difficulties that affect the debtor’s inability to pay all obligation to all of creditor, therefore the facility agent is can’t transfer fund to repayment interest and principal of loan debtor to all of creditor, which have a question, how the position of facility agent if debtor default to pay all obligation, is the facility agent can act to court or it should be all of creditor to act on the court?. / Kredit sindikasi pada umumnya diberikan oleh satu atau lebih kreditur yang memiliki kepentingan yang sama untuk membiayai kebutuhan modal kerja debitur yang sangat besar yang tidak dapat dimungkinkan pemberian kredit oleh satu kreditur saja, karena terkait dengan ketentuan Batas Maksimum Pemberian Kredit yang dikeluarkan oleh Bank Indonesia sehingga para kreditur dalam memberikan kredit harus bersama-sama dengan kreditur lainnya yang memiliki kesamaan tcrhadap syarat dan kondisi pemberian kredit serta dengan kondisi jaminan dari debitur yang sama yang dibuat dengan akta notariil. Dalam perjanjian kredit sindikasi terdapat salah satu pihak yang bemama Agen fasilitas, yang ditunjuk oleh para kreditur dan disetujui oleh debitur. Agen Fasilitas memiliki peranan yang cukup penting sebagai pihak yang mewakili kepentingan para pihak dalam hal ini debitur dan para kreditumya yang berfungsi untuk menata dan mengadministrasikan dokumen termasuk kondisi dan syarat yang ditentukan dalam perjanjian kredit sindikasi. Agen fasilitas berperan atas dasar kekuasaan dan kewenangan yang diberikan oleh para kreditur untuk menjalankan hal yang bersifat administrasi seperti misalnya melakukan pemantauan terhadap segala ketentuan yang telah diatur dalam perjanjian kredit sindikasi, misalnya melakukan pemantauan pemenuhan kewajiban pembayaran hutang debitur yang sesuai dengan jadwal yang telah ditentukan dan tidak ada keterlambatan. Dunia usaha terus berputar dan terkadang tidak dapat diprediksi, yang tidak menutup kemungkinan debitur mengalami kesulitan keuangan yang berdampak kepada ketidakmampuan debitur membayar kewajiban kepada para kreditur, sehingga agen fasilitas tidak dapat menjalankan pembayaran kewajiban bunga dan pokok kepada kreditur, yang muncul pertanyaan bagaimana posisi agen fasilitas apabila debitur macet apakah dapat mewakili di hadapan pengadilan ataukah harus bank sindikasi sendiri yang melakukan upaya hukum dimuka pcngadilan.
