Aksi korporasi kerap kali dilakukan oleh Perusahaan Terbuka dengan tujuan mencapai sasaran tertentu dan memberi dampak kepada para pemegang saham perusahaan, salah satu aksi korporasi yang dilakukan oleh Perusahaan Terbuka adalah penggabungan nilai nominal saham atau reverse stock. Pada intinya reverse stock adalah suatu tindakan yang merubah nilai nominal saham dan jumlah saham yang beredar namun tidak merubah struktur permodalan perusahaan, akan tetapi pada praktiknya akibat dari dilakukannya aksi korporasi reverse stock akan menyebabkan perubahan pada struktur permodalan perusahaan sebagaimana diatur pada Undang-Undang Nomor 40 Tahun 2007 Tentang Perseroan Terbatas. Untuk membantu terlaksananya aksi korporasi reverse stock, Perusahaan Terbuka memerlukan dukungan dari profesi penunjang pasar modal, salah satunya adalah Notaris pasar modal. Tujuan penulisan ini adalah untuk mengetahui prosedur pelaksanaan aksi korporasi reverse stock secara rinci dan peran serta tanggung jawab Notatis pasar modal dalam aksi korporasi reverse stock. Metode penelitian pada tesis ini menggunakan jenis penelitian yuridis normatif atau penelitian hukum kepustakaan. Kesimpulan dari tesis ini adalah aksi korporasi reverse stock dapat dilakukan dengan Rapat Umum Pemegang Saham dan Notaris mempunyai peran dan tanggung jawab yang penting dalam proses pelaksanaan aksi korporasi reverse stock, yakni pembuatan akta Notaris dan pemberitahuan atas perubahan anggaran dasar Perusahaan Terbuka ke Menteri. Sampai saat ini, sepengetahuan penulis, belum ada peraturan atau surat edaran khusus yang dikeluarkan oleh Otoritas Jasa Keuangan yang mengatur tentang reverse stock, oleh karena itu harapan dari penulis adalah Otoritas Jasa Keuangan dapat segera mengundangkan suatu peraturan atau surat edaran khusus untuk aksi korporasi reverse stock ini. / Corporate actions are often carried out by public companies with the aim of achieving certain goals and having an impact on the company's shareholders. One of the corporate actions taken by public companies is the merger of the nominal value of shares or reverse stock. In essence, a reverse stock is an action that changes the nominal value of shares and the number of shares outstanding but does not change the company's capital structure, but in practice the result of carrying out a reverse stock corporate action will cause changes in the company's capital structure as regulated in Law Number 40. 2007 concerning Limited Liability Companies. To help carry out the reverse stock corporate action, the Public Company needs support from capital market supporting professionals, one of which is a capital market notary. The purpose of this paper is to determine the procedure for implementing reverse stock corporate actions in detail and the roles and responsibilities of the capital market Notary in reverse stock corporate action. The research method in this thesis uses normative juridical research or literature law research. The conclusion of this thesis is that reverse stock corporate action can be carried out by the General Meeting of Shareholders and the Notary has an important role and responsibility in the process of implementing reverse stock corporate action, namely drafting a Notary deed and notification of amendments to the articles of association of the Public Company to the Minister. Until now, to the author's knowledge, there has been no special regulation or circular issued by the Financial Services Authority which regulates reverse stock, therefore the hope of the author is that the Financial Services Authority can immediately enact a regulation or special circular for reverse stock corporate action.
