Abstract
With so many foreign investor using Special Purpose Vehicle1 to incorporate a Foreign
Investment Company from South East Asia, especially Singapore, this research intended to
provide description to the protection which is offer by the Asean Comprehensive Investment
Agreement (“ACIA”) with the comparison with Law No. 25 of 2007 regarding Capital
Investment (“UUPM”) as the Indonesian prevailing laws which has one of its purposes is to
provide protection for the foreign investor who has invest its capital in Indonesia.
UUPM in accordance with its elucidation has provides guarantee for equal treatment in capital
investment. However, to fulfill the economic democracy principles, UUPM is also providing
instruction to issue law and regulations regarding foreign investment activities which are closed
and open with requirements, including activities which need to have local partner or only for
small medium enterprises and cooperatives. UUPM is also providing policy space for
Government of the Republic of Indonesia to issue policy which may anticipate numerous
International agreements and at the same time develop other international cooperation to increase regional and international market for Indonesian goods and services products. The possibility for
disputes between investor and government is also anticipated by UUPM by governing dispute
resolution.2
In view of such UUPM provision, it will open the possibility for international relationship to
increase foreign investment by investor, which among others by Indonesia has signed the ACIA
in 26 February 2009 which in effect as of 29 March 2012. ACIA has the following four pillars,
(i) liberalisation, (ii) protection, (iii) facilitation and (iv) promotion of investment, which are
inline with the purpose of the UUPM. / Dengan banyaknya investor asing yang menggunakan Perusahaan Antara4 (Special Purpose
Vehicle) untuk mendirikan perusahaan Penanaman Modal Asing dari wilayah Asia Tenggara,
terutama dari Singapura, maka penelitian ini bermaksud untuk memberikan gambaran akan
perlindungan yang ditawarkan oleh Asean Comprehensive Investment Agreement (“ACIA”)
berikut dengan perbandingan terhadap Undang-Undang No. 25 tahun 2007 mengenai Penanaman
Modal (“UUPM”) sebagai Undang-Undang yang berlaku di Indonesia yang salah satu tujuannya
adalah memberikan perlindungan bagi investasi investor asing yang menanamkan modalnya di
Indonesia.
UUPM sesuai penjelasannya telah memberikan jaminan perlakuan yang sama dalam penanaman
modal. Namun demikian, agar memenuhi prinsip demokrasi ekonomi UUPM juga
memerintahkan penyusunan peraturan perundang-undangan mengenai bidang usaha yang
tertutup dan yang terbuka dengan persyaratan, termasuk bidang usaha yang harus dimitrakan atau dicadangkan bagi usaha mikro, kecil, menengah, dan koperasi. UUPM juga memberikan
ruang kepada Pemerintah Republik Indonesia mengambil kebijakan guna mengantisipasi
berbagai perjanjian Internasional yang terjadi dan sekaligus untuk mendorong Kerjasama
internasional lainnya guna memperbesar pasar regional dan internasional bagi produk barang dan
jasa dari Indonesia. Kemungkinan timbulnya sengketa antara penanam modal dan Pemerintah
juga diantisipasi UUPM dengan pengaturan mengenai penyelesaian sengketa.
Atas dasar pertimbangan dalam UUPM tersebut, dibukalah pintu hubungan internasional untuk
meningkatkan investasi investor asing, yang mana salah satunya dengan ditandatanganinya
ACIA oleh Indonesia pada 26 Februari 2009 untuk berlaku efektif di 29 Maret 2012. ACIA
sendiri memiliki empat pilar-pilar idealisme yaitu (i) liberalisasi, (ii) proteksi, (iii) fasilitasi dan
(iv) promosi investasi, yang menjadi sejalan dengan tujuan UUPM saat ini.
