Direksi merupakan salah satu organ perseroan terbatas yang bertanggungjawab terhadap pengurusan dan perwakilan perseroan, sesuai maksud dan tujuan perseroan berdasarkan angaran dasar perseroan terbatas. Tanggung jawab terbatas yang dimiliki direksi, dalam perseroan terbatas didasari dan telah diatur dalam Undang-undang Nomor 40 Tahun 2007 tentang Perseroan Terbatas, di sisi lain Undang-undang tersebut juga mengatur mengenai hal-hal tertentu yang dilakukan direksi, yang dapat mengakibatkan pertanggungjawaban pribadi direksi tersebut. Penelitian ini akan menekankan pada permasalahan penerapan prinsip itikad baik pada jabatan direksi, pertanggungjawaban tindakan direksi yang dilakukan diluar maksud dan tujuan perseroan, dan sanksi hukum bagi direksi apabila terbukti melakukan kelalaian atau kesalahan yang mengakibatkan kerugian pada perseroan. Dalam penelitian ini, akan dilakukan dengan metode pendekatan yuridis normatif dan dasar hukum utama yang digunakan di penelitian ini termasuk Kitab Undang- Undang Hukum Perdata (KUHP) dan Undang-Undang No. 40 Tahun 2007 tentang Perseroan Terbatas. Data – data yang diperoleh dari studi pustaka dan hasil putusan pengadilan yang untuk selanjutnya dianalisa secara deskriptif bidang hukum perseroan. Hasil penelitian dan pembahasan menyimpulkan bahwa direksi dalam menjalankan kepengurusannya harus didasarkan dengan prinsip itikad baik dan penuh tanggung jawab karena direksi bertanggung jawab secara pribadi sampai kepada harta pribadi atas kerugian perseroan apabila secara sengaja menyalahgunakan wewenangnya atau menjalankan kewenangannya diluar maksud dan tujuan perseroan. Perseroan sebagai pihak yang dirugikan akibat tindakan Direksi dalam menjalankan pengurusan dapat melakukan upaya hukum untuk menuntut hak-haknya kembali berupa pengajuan gugatan secara perdata ke pengadilan / The directors is one of the limited liability company organ who is responsible for the management and the representative of the company in accordance with purposes and objectives of the company based on the articles of association of the limited liability company. Limited liability which is owned by the directors in a limited liability company is based and have been regulated in Law Number 40 Year 2007 regarding Limited Liability Company, on the other side the Law also regulates certain things done by directors, which could result in personal accountability of the directors. This research will emphasize the issues of implementing the principle of good faith on the position of directors, accountability of the acts of directors committed beyond the purpose and objective of the company, and the legal sanctions for directors if it can be proved committing negligence or mistakes resulting in losses to the company. In this study, it will be conducted with normative juridical approach and the legal basis used in this study is included the Penal Code and the Law No. 40 Year 2007 regarding Limited Liability Company. Data obtained from the literature and the results of a court decision are descriptively analyzed in the company law context. The results of research and discussion concluded that the directors in carrying out their staffs should be based on the principle of good faith and full responsibility because the directors are personally liable to the company for the loss of personal property if deliberately abuse their power or exercise their authority beyond the purpose and objective of the company. The company as the injured party as a result of the action of directors in performing management can make legal effort to assert their rights back in the form of filing a lawsuit in civil court
