Abstract

Legal protection towards the board of directors of the company that makes decisions outside the intent and purpose of the company is still a difficult problem to resolve. This is because in the case of the managing and having an authority in running a limited liability company, directors are faced with problems that require them to act quickly, decisively, and have the element of prudence and loyalty to the company. In the event of any negligence or error causing an amount of loss, the Board of Directors of the Company in accordance with Law Number 40 Year 2007 regarding Limited Liability Company states that the Board of Directors has full authority and responsibility for the management of the Company in the interests of the Company in accordance with the Company’s purposes and objectives and to represent the Company in and out of court in accordance with the provisions of the articles of association. The main problem is the accountability of the board of directors to the decisions made outside the intent and purpose of the company also including their legal protection. The purpose of this research is to determine the rules of law that are related and regulates the problems above. In this research, the author examines the problem with normative and qualitative juridical research methods, with collecting data through law approach, that is by reviewing all laws and regulations related to limited liability company. Based on the research, it can be concluded that the board of directors of a limited liability company making a decision outside the intent and purpose of the company which due to its actions that make a decision outside the intent and purpose of the company can not be held accountable if it does not cause losses to the company. However, if it causes a loss to the company and the board of directors are proven to perform such actions outside the provisions and limitations, then the board of directors has been out of the principle of legal representation and has been qualified to commit the misuse of their authority. / Perlindungan hukum terhadap direksi perseroan yang melakukan keputusan di luar maksud dan tujuan perseroan masih menjadi permasalahan yang sulit untuk diputuskan. Hal ini dikarenakan dalam hal pengurusan perseroan terbatas dan wewenang dalam menjalankan kegiatan perseroan terbatas, direksi dihadapkan dengan permasalah-permasalahan yang mengharuskan direksi tersebut bertindak dengan cepat, tegas, dan memiliki unsur kehati-hatian dan loyal terhadap perseroan terbatas tersebut. Apabila terjadi kelalaian atau kesalahan yang menyebabkan kerugian maka direksi perseroan sesuai dengan Undang-Undang Nomor 40 Tahun 2007 tentang Perseroan Terbatas disebutkan bahwa direksi memiliki tanggung jawab penuh atas pengurusan perseroan terbatas. Permasalahannya adalah bagaimana pertanggung jawaban direksi terhadap keputusan yang dilakukan di luar maksud dan tujuan perusahaan dan bagaiman perlindungan hukum terhadap direksi yang melakukan keputusan di luar maksud dan tujuan perusahaan. Tujuan penelitian ini adalah untuk mengetahui aturan-aturan hukum yang mengatur dan berkaitan dengan permasalahan diatas. Dalam penelitian ini, penulis meneliti permasalahan dengan metode penelitian yuridis normatis dan kualitatif, pengumpulan data dilakukan dengan menggunakan pendekatan undang-undang, yaitu dengan menelaah semua undang-undang dan regulasi terkait dengan perseroan terbatas. Berdasarkan penelitian tersebut dapat disimpulkan bahwa direksi perseroan terbatas yang melakukan keputusan di luar maksud dan tujuan perusahaan Direksi yang karena tindakanannya yang mengambil keputusan diluar maksud dan tujuan perseroan apabila tidak menimbulkan kerugian pada perseroan tersebut, maka direksi tidak dapat dimintakan pertanggungjawaban. Namun apabila menimbulkan kerugian terhadap perseroan dan direksi tersebut terbukti melakukan tindakan tersebut diluar ketentuan dan batasan-batasan Maka direksi tersebut telah keluar dari prinsip hukum perwakilan dan dikualifikasi telah melakukan tindakan penyalahgunaaan wewenang.
