Abstract

This research aims to determine the extent which the legal protection provided by Law No. 40 of 2007 about Limited Liability Company (Company Law) against minority shareholders in the acquisition process. Wherein Article 126 paragraph (1) of Company Law states that acquisition process must consider about the interests of minority shareholders, meanwhile Article 126 paragraph (3) of Company Law also states that all the action by minority shareholders under Article 62 of Company Law does not halt the acquisition process. With this unclear provision related to the issue raising questions whether the Company Law has given adequate protection to the minority shareholders, therefore it needs further review to how far actually the Company Law provides protection for minority shareholders in the acquisition process. The research used the approach of law and from the interview obtained result regarding what legal action could be upheld by minority shareholders in using the voting rights in accordance with their shares when the minority shareholders did not approve the acquisition. / Penelitian ini bertujuan untuk mengetahui sejauh manakah perlindungan hukum yang diberikan oleh Undang Undang nomor 40 tahun 2007 tentang Perseroan Terbatas (UUPT) terhadap pemegang saham minoritas dalam proses akuisisi. Dimana dalam pasal 126 ayat (1) dari UUPT menyatakan bahwa proses akuisisi harus memperhatikan kepentingan pemegang saham minoritas, tetapi di sisi lain dalam Pasal 126 ayat (3) UUPT tersebut menyatakan bahwa usaha yang dilakukan pemegang saham minoritas berdasarkan Pasal 62 UUPT tidak menghentikan proses akuisisi. Terdapatnya sedikit kerancuan dalam pengaturan mengenai ini kemudian menimbulkan pertanyaan mengenai apakah UUPT sudah memberikan perlindungan yang cukup bagi pemegang saham minoritas, sehingga kemudian harus dilihat dan ditelaah kembali sebenarnya sejauh apa perlindungan yang telah diberikan oleh UUPT terhadap pemegang saham minoritas dalam proses akuisisi. Kajian ini menggunakan pendekatan perundang-undangan dan melalui wawancara diperoleh hasil mengenai sejauh mana upaya hukum yang dapat dilakukan oleh pemegang saham minoritas dalam menggunakan hak suara sesuai dengan saham yang dimilikinya ketika pemegang saham minoritas tidak menyetujui dilakukannya akuisisi.
