This thesis is a case study Of West Jakarta District Court Decision Number 416/Pdt.G/2016/PN.JKT.BRT. The lawsuit is filed by TA is due to the dilution of TA's share which ownership in PT. PINV, originally in the amount of 21.36% (twenty one point three six percent) to only 1.76% (one point seven six percent). TA is not aware of the implementation of the General Meeting of Shareholders (hereinafter referred to as GMS) dated September 15, 2015, with an agenda of capital increase of PT. PINV. This results in TA being unable to take part in the additional capital so that the shares owned by TA are diluted. This case shows the weakness of legal protection to the minority shareholders. The method of research that is used in the writing of this thesis is a normative literature. Based on the result of the study it can be concluded that the Company Law has not provided legal protection to minority shareholders, especially for minority shareholders who have percentage shares of less than 1/10 (one over ten) of the total shares with voting rights. / Tesis ini merupakan studi kasus atas Putusan Pengadilan Negeri Jakarta Barat Nomor 416/PDT.G/2016/PN.JKT.BRT. Gugatan diajukan TA dikarenakan dilusi kepemilikan saham TA di PT. PINV, yang semula 21,36 % (dua puluh satu koma tiga puluh enam persen) menjadi hanya 1,76% (satu koma tujuh puluh enam persen). TA tidak mengetahui adanya pelaksanaan Rapat Umum Pemegang Saham (selanjutnya disebut RUPS) tertanggal 15 September 2015, dengan agenda peningkatan modal PT. PINV. Hal tersebut mengakibatkan TA tidak dapat mengambil bagian dalam penambahan modal tersebut sehingga saham milik TA terdilusi. Kasus ini menunjukkan lemahnya perlindungan hukum terhadap pemegang saham minoritas. Metode penelitian yang akan digunakan dalam penulisan hukum ini adalah metode normatif yaitu studi kepustakaan. Berdasarkan hasil penelitian dapat disimpulkan bahwa UUPT belum memberikan perlindungan hukum kepada pemegang saham minoritas, terlebih lagi bagi pemegang saham minoritas yang memiliki persentase saham kurang dari 1/10 (satu per sepuluh) bagian dari jumlah seluruh saham dengan hak suara.
