The globalization era cannot stop the development of technology that is increasingly being used optimally in various sectors. One sector that is currently being developed is the capital market sector. With the rapid development of capital markets in Indonesia, public companies or issuers increase in Indonesia. One of the problems then is to manage the General Meeting of Shareholders (GMS), especially the Annual General Meeting of Shareholders which is held in a limited time frame while the shareholders have shares in more than one company, thus allowing a conflict of time at the GMS and shareholders cannot attend the GMS. To answer this problem, the Indonesian Central Securities Depository (KSEI) is trying to create an Electronic Proxy (e-Proxy) and Electronic Voting (eVoting) system that digitizes the GMS implementation process and allows Shareholders to give power of attorney or attend the GMS electronically or not physically present. This Thesis tries to identify if there are any implications for the roles and responsibilities of a Notary in the General Meeting of Shareholders, especially in a Public Company that applies the e-Proxy and e-Voting system and seeks solutions to these problems. / Kemajuan zaman tidak dapat membendung perkembangan teknologi yang semakin dipergunakan dengan maksimal dalam berbagai sektor. Salah satu sektor yang saat ini gencar dikembangkan adalah sektor pasar modal. Dengan pesatnya perkembangan pasar modal di Indonesia, perusahaan terbuka atau emiten semakin marak di Indonesia. Salah satu problematika yang kemudian dihadapi adalah pelaksanaan Rapat Umum Pemegang Saham (RUPS) utamanya RUPS Tahunan yang diadakan dalam rentang waktu terbatas sementara pemegang saham memiliki saham di lebih dari satu perusahaan, sehingga memungkinkan terjadinya benturan waktu pelaksanaan RUPS dan pemegang saham tidak dapat menghadiri RUPS. Untuk menjawab permasalahan ini, PT Kustodian Sentral Efek Indonesia (KSEI) mencoba menciptakan suatu sistem Electronic Proxy (e-Proxy) dan Electronic Voting (e-Voting) yang mendigitalisasi proses pelaksanaan RUPS dan memungkinkan Pemegang Saham memberikan kuasa maupun menghadiri RUPS secara elektronik atau tidak hadir secara fisik. Tugas Akhir ini mencoba mengidentifikasi sekiranya implikasi apa bagi peran dan tanggung jawab Notaris dalam Rapat Umum Pemegang Saham khususnya di Perusahaan Terbuka yang menerapkan sistem e-Proxy dan e-Voting serta mencari solusi atas permasalahan tersebut.
