Abstract

Perlindungan atas informasi rahasia yang lebih dikenal dengan istilah Rahasia Dagang, di Indonesia diatur dalam Undang-undang Nomor 30 Tahun 2000 tentang Rahasia Dagang. Fakta menunjukkan, perlindungan atas rahasia dagang menjadi semakin penting akhir-akhir ini sejalan dengan perkembangan trend bisnis yang menuju ke arah bisnis yang berbasis informasi. Informasi yang dirahasiakan menjadi aset perusahaan yang penting dan harus dijaga agar tidak jatuh ketangan saingan bisnisnya. Permasalahan muncul akibat pengaturan perlindungan rahasia dagang dalam undang-undang yang tidak cukup memadai sehingga mengakibatkan ketidak jelasan dari kalangan industri tentang bagaimana bentuk nyata dari melindungi sebuah informasi rahasia, dan apa yang harus dilakukan untuk menghindari persaingan curang, dan sebagainya. Pengelolaan rahasia dagang menjadi kebutuhan dan sangat penting untuk dilakukan oleh perusahaan, industri, atau pelaku bisnis lainnya, sebab banyak keuntungan dan manfaat yang akan di peroleh, khususnya dalam usaha franchise. Salah satunya adalah pemilik suatu rahasia dagang dapat mencegah penggunaan yang tidak sah atau pengungkapan yang dilakukan oleh seseorang yang memperoleh rahasia dagang tersebut melalui cara-cara yang tidak layak. Dalam pembuatan akta perjanjian franchise yang dibuat dibawah tangan dirasakan kurangnya kesadaran dan pengetahuan dari pihak franchisor dalam melindungi Rahasia Dagang yang dimilikinya ketika melakukan perjanjian franchise dengan franchisee. Khususnya perlindungan dalam hal resep, racikan, maupun informasi-informasi lainnya yang dianggap penting untuk keberlangsungan usaha yang menjadi ciri khas dalam usahanya tersebut. Untuk lebih memperjelas pengaturannya, pelaksanaan undang- undang Rahasia Dagang perlu kiranya untuk memberikan pengaturan lebih lanjut terkait kewajiban pemilik suatu rahasia dagang dalam melakukan tindakan pencegahan pembocoran terhadap informasi rahasia yang dimilikinya. Selain itu, peranan notaris sebagai pejabat pembuat akta juga dapat dipertimbangkan untuk terlibat menjadi fasilitator dalam membantu para pihak menuangkan kesepakatannya dalam suatu perjanjian franchise / In Indonesia, protection of confidential information, known as the Trade Secrets is regulated in Law Number 30 Year 2000 regarding the Trade Secret. The fact shows that the protection of trade secrets these days has became more important in line with the development of the business trend towards information- based business. Undisclosed information became an important corporate asset and should be maintained so it would not fall into the hands of the business rival. Problems arises due to inadequate protection that leads to lack of clarity about the real form of protection and how to avoid unfair competition. The management of trade secrets is becoming a need and it is very important to be performed by the company, industry, or other businesses, because there are a lot of advantages and benefits that can be obtained, especially in the franchise. One of them is the owner of a trade secret could prevent unauthorized use or disclosure made by a person who obtained the trade secrets in a non feasible ways. In deed of the franchise agreement made under the hands of a perceived lack of awareness and knowledge of the franchisor to protect his trade secret when doing a franchise agreement with a franchisee . Especially protection in terms of prescription, compounded, as well as other information deemed important for business continuity that characterizes in his efforts. Furthermore, to clarify it in the implementation of trade secret law, it is necessary to provide further adjustments related to the owner of a trade secret obligation to take action to prevent the leakage of confidential information that he had. In addition , the role of the notary as a deed officials may also be considered to to get involved as a facilitator on helping the parties to make it in a franchise agreement
