Abstract

Penyelesaian sengketa merupakan salah satu aspek hukum penting yang diperlukan oleh manusia untuk menciptakan ketertiban dan keteraturan dalam kehidupan bermasyarakat. Penyelesaian sengketa Jual Beli Saham melalui Perjanjian Perdamaian, karena dipandang efisisen, cukup memuaskan pihak-pihak yang bersengketa dan banyak memberikan kemudahan-kemudahan yang tidak diperoleh dalam proses pengadilan resmi. Kedua belah pihak memiliki pilihan-pilihan hukum (choice of law) sesuai dengan kebutuhan hukum mereka, karena sesungguhnya “kalah” dan “menang” bukan tujuan, tetapi lebih kepada terpeliharanya keteraturan hubungan sosial. Dalam melakukan penelitian ini, penulis menggunakan metode penelitian kepustakaan yang bersifat yuridis-normatif, dengan digunakan yaitu data sekunder yang diperoleh dari bahan-bahan kepustakaan berupa bahan hukum primer, bahan hukum sekunder dan bahan hukum tersier. Sementara itu, metode analisis data yang digunakan dalam penelitian ini dilakukan dengan cara kualitatif, yaitu mengacu pada data penelitian yang diteliti oleh peneliti. Kesimpulan berdasarkan permasalahan diatas adalah Bahwa Akta Perdamaian yang dibuat oleh Notaris mempunyai kekuatan hukum bagi Para Pihak dan Pihak Ketiga karena Akta Perdamaian adalah akta yang dibuat atas kesepakatan para pihak, sehingga akta tersebut berlaku sebagai undang-undang bagi mereka yang membuatnya. Hal ini didasari oleh Pasal 1338 angka (1) yang berbunyi “Semua perjanjian yang dibuat secara sah berlaku sebagai undang-undang bagi mereka yang membuatnya”. Akta Perdamaian yang dibuat oleh Notaris adalah akta autentik, dimana Notaris sebagai Pejabat Umum yang berwenang membuat akta yang dimaksud dalam Pasal 1868 KUH Perdata, sehingga Akta Perdamaian mempunyai kekuatan pembuktian sempurna. Berkaitan dengan penyelesaian sengketa jual beli saham antar para pihak telah memilih melalui perdamaian yang dibuat dengan Akta Perdamaian Nomor 652 Tanggal 28 Agustus 2014 yang dibuat oleh Mustangin, S.H., MKn., Notaris di Jakarta. Sehubungan dengan studi kasus tersebut, maka Pihak yang bersengketa telah memilih alternatif penyelesaian sengketa bisnis melalui Akta Perdamaian sesuai ketentuan undang-undang. Akibat hukum jika salah satu pihak melanggar Akta Perdamaian, maka pihak lain yang dirugikan dapat mengajukan gugatan ke Pengadilan Negeri / Dispute resolution is one of the important legal aspects required by human beings to create order and regularity in their life in society. The resolution of a dispute arising out of a share purchase agreement using a deed of settlement, which it is considered efficient, is satisfactory to the parties to the dispute and provides them with convenience that is not obtained in the formal court proceedings. Both parties have their choice of law in accordance with their legal needs, since actually the objective is not to “lose” and to “win”, but rather it is the preservation of order in social relations. In this research, the method used is juridical-normative library research, and some secondary data used is obtained from the materials from library research in the form of primary legal materials, secondary legal materials and tertiary legal materials. Meanwhile, the method of data analysis used in this research is qualitative research, conducted on the data studied by the researcher. The conclusion based on the above issue is that the deed of settlement drawn up by a notary has legal force binding on the parties and third parties because the deed of settlement is a deed made on the agreement of the parties, so it is valid as a law to those who make it. This is based on Article 1338 paragraph (1) of Indonesian Civil Code (KUH Perdata) which states that “All agreements which are legally made are valid as a law to those who have made them”. The deed of settlement made by a notary is an authentic deed, related to which notary is a public official who is authorized to make deeds as referred to in Article 1868 of Indonesian Civil Code (KUH Perdata), so that the Deed of Settlement has conclusive evidentiary force. In connection with resolution of a dispute on the purchase of shares between the parties have selected amicable settlement through the making of Deed of Settlement Number 652 dated 28 August 2014 made by Mustangin, S.H., MKn., Notary in Jakarta. In connection with the case study, the parties to the dispute have chosen alternative dispute resolution for business disputes through the Deed of Settlement in accordance with the law. As a result, if any of the parties breaches the Deed of Settlement, the other party may file a lawsuit to the District Court
