A Notary is a General Officer who is authorized to make authentic deeds to the extent to which the making of certain Authentic Deeds is not specific to other Public Officials. The problem in this study is whether the Notary makes a Deed of Meeting Decision which is based on the Deed of Shareholders' Minutes of Meeting, where there are 4 (four) agendas, but the GMS has the power of attorney to the Board of Directors to implement the agenda of the EGM only on 4th agenda ( four), where in the PKR Deed made by the Notary reaffirms the entire RUPS-LB agenda, can it be declared to be beyond authority? In this case, the Plaintiffs in Petitum appealed to the Panel of Judges to examine the case, in order to declare the Deed No.08 dated 17 July 2009 concerning the Decision of the Meeting Decision, which had been made by a Notary, in front of one of the Directors of the Company. against the right, so that it is legally flawed and therefore must be declared to have no binding legal force. The conclusion is that the PKR Deed made by Notary Leolin Jayayanti, SH is a follow-up to the Deed of Minutes of EGMS. / Notaris adalah Pejabat Umum yang berwenang untuk membuat akta otentik sejauh mana pembuatan Akta Otentik tertentu tersebut tidak dikhususkan bagi Pejabat Umum lainnya. Permasalahan dalam penelitian ini yaitu Apakah Notaris yang membuat Akta Pernyataan Keputusan Rapat yang landasannya Akta Berita Acara RUPS-LB, dimana ada 4 (empat) agenda, akan tetapi yang diberikan kuasa oleh RUPS kepada Direksi untuk melaksanakan agenda RUPS-LB hanya agenda ke 4 (empat) saja, dimana di Akta PKR yang dibuat oleh Notaris tersebut menegaskan kembali seluruh agenda RUPS-LB, dapat dinyatakan melampaui kewenangan? Dalam kasus ini, Para Penggugat didalam Petitumnya memohon kepada Majelis Hakim yang memeriksa perkara, agar Menyatakan Akta No.08 Tanggal 17 Juli 2009 tentang Pernyataan Keputusan Rapat, yang telah dibuat oleh Notaris, dihadapan salah satu Direktur Perseroan, dinyatakan telah dibuat secara melawan hukum dan melawan hak, sehingga cacat hukum dan oleh karena itu harus dinyatakan tidak mempunyai kekuatan hukum mengikat. Kesimpulannya Bahwa Akta PKR yang dibuat oleh Notaris Leolin Jayayanti, SH adalah tindak lanjut dari Akta Berita Acara RUPS-LB.
