Abstract

Notaris sebagai Profesi Penunjang Pasar Modal dituntut untuk melaksanakan prinsip keterbukaan (disclosure) sebagai prinsip yang wajib dilakukan oleh seluruh pihak yang melakukan kegiatan di Pasar Modal, disisi lain Notaris terikat pada ketentuan yang berlaku dalam Undang-Undang Jabatan Notaris, Kode Etik dan Sumpah Jabatannya untuk menjaga rahasia jabatan. Dalam kaitan tersebut terdapat permasalahan bagaimana seorang Notaris sebagai Profesi Penunjang Pasar Modal dapat tetap melaksanakan rahasia jabatan dan prinsip keterbukaan. Seorang Notaris dikategorikan sebagai orang dalam yang memiliki akses untuk mengetahui informasi dan fakta material mengenai Emiten dan atau Perusahaan Publik, oleh karenanya ia dapat menjadi pelaku dalam perdagangan informasi orang dalam, sehingga dapat melanggar kewajibannya dalam menjaga rahasia jabatan. Dalam penelitian ini, menggunakan metode penelitian hukum normatif dengan studi kepustakaan. Dari hasil penelitian tersebut, dapat disimpulkan bahwa Notaris sebagai Profesi Penunjang Pasar Modal tetap memiliki kewajiban untuk menjalankan rahasia jabatan, yaitu dengan merahasiakan akta-akta yang dibuatnya dan keterangan yang diperoleh sehubungan dengan pembuatan akta-akta tersebut, kewajiban melaksanakan prinsip keterbukaan (disclosure) adalah dalam rangka transparansi kepada Otoritas Jasa Keuangan, semata-mata guna kepentingan umum atau publik yang menjadi lebih utama, sehingga pada saat Notaris Pasar Modal melakukan prinsip keterbukaan dalam kapasitasnya tunduk pada Undang- Undang Pasar Modal. Notaris Pasar Modal juga dituntut untuk dapat mengemban amanat sebagai profesi kepercayaan untuk tidak melakukan perdagangan di Pasar Modal dengan menggunakan informasi orang dalam / Notary as a Capital Market Supporting Professionals are required to implement the principle of transparency (disclosure) as a principle that must be done by all parties have activities in the capital market, on the other hand the Notary is bound to the provisions in the Law on Notary, Code of Conduct and vows his post to keeping the principle of professional confidentiality. In this regard there is the issue of how a Notary as a Capital Market Supporting Professionals can continue to perform the principle of professional confidentiality and transparency principles. A Notary categorized as insiders who have access to know the material facts and information regarding the Emiten or Public Company, therefore he/she may become actors in trading insider information, so it can be violote its obligation to maintain the principle of professional confidentiality. In this research, using a normative legal research methods to the study of literature. From these results, it can be concluded that the Notary as a Capital Market Supporting Professional still have an obligation to keep the Principle of Professional Confidentiality, by keep the entire contents of the deed, and the information he/she gained during the drafting of the deed of the obligation, the implementation of the principle of transparency (disclosure) is in the context of transparency to the Otoritas Jasa Keuangan, solely for the public interest becomes priority, so that when the Notary Capital Markets practice the principle of transparency in its capacity to obey the Capital Market Law. Notary Capital Markets also required to be mandated as a profession of trust is prohibited from make transaction in the capital market using insider information.
