The Limited Liability Company Law places the notary profession in a very important position for birth dan the existence of a company. Any changes to the company s articles of association must be determined based on the results of the decision of the General Meeting of Shareholders which must be stated in the notary deed. In the Limited Liability Company Law it has been regulated regarding the period of tim for the process of implementing changes to the company’s articles of association. The purpose of this research is to find out the legal consequences of cirlcular decisions and/or minutes of the General Meeting of Shareholders that have not been stated in notary deeds, also to determine the role of notaries and legal consequences of circular decisions and/or minutes of the General Meeting of Shareholders which has been notarized and has exceeded the deadline for applications and/or notices. This writing uses a method library research that is normative juridical writing that examines the rules of the applicable law through library studies which are then linked to data and practices that occur in the field. From this research, it can be concluded that in principle the decision of the General Meeting of Shareholders which contains changes in the articles of association that have passed the deadline to be stated in the notary deed and the deadline for requesting approval and/or notification to the Minister. Reaffirmation of all decisions that have been decided at the previous General Meeting of Shareholders, so that the decision of the General Meeting of Shareholders can be notarized and the notary can submit a request for approval and/or notification back to the Minister based on the affirmation deed. / Undang-Undang Perseroan Terbatas menempatkan profesi notaris dalam kedudukan yang sangat penting untuk lahir dan eksistensinya suatu perseroan. Setiap perubahan anggaran dasar perseroan harus ditetapkan berdasarkan hasil dari keputusan Rapat Umum Pemegang Saham yang wajib dituangkan dalam akta notaris. Dalam Undang-Undang Perseroan Terbatas telah diatur mengenai jangka waktu proses pelaksanaan perubahan anggaran dasar perseroan. Tujuan dari penelitian ini adalah untuk mengetahui akibat hukum terhadap keputusan sirkuler dan/atau notulen atau risalah Rapat Umum Pemegang Saham yang belum dituangkan dalam akta notariil, juga untuk mengetahui peranan notaris dan akibat hukum terhadap keputusan sirkuler dan/atau notulen atau risalah Rapat Umum Pemegang Saham yang sudah dinotariilkan dan telah melampaui batas waktu permohonan dan/atau pemberitahuannya. Penulisan ini menggunakan metode penelitian kepustakaan yang bersifat yuridis normatif, yaitu penulisan yang meneliti peraturan-peraturan hukum yang berlaku melalui studi kepustakaan yang kemudian dihubungkan dengan data dan praktek yang teijadi di lapangan. Dari penelitian ini, dapat disimpulkan bahwa pada prinsipnya keputusan Rapat Umum Pemegang Saham yang memuat perubahan anggaran dasar yang telah lewat batas waktu untuk dinyatakan dalam akta notaris maupun batas waktu permohonan persetujuan dan/atau pemberitahuan kepada Menteri, harus dilakukan penegaskan kembali terhadap segala keputusan-keputusan yang telah diputuskan dalam Rapat Umum Pemegang Saham sebelumnya, sehingga keputusan Rapat Umum Pemegang Saham tersebut dapat diakta notariskan dan notaris dapat mengajukan permohonan persetujuan dan/atau pemberitahuan kembali ke Menteri berdasarkan akta penegasan tersebut.
