The emergence of various transactions in the Capital Market makes the Board of Directors as the management of the company must be careful in making decisions, this is because the Responsibilities inherent in the Board itself. A lot of transactions are actually very high risk in the Capital Market for a company, One of the transactions conducted by the company in the field of capital markets is Repurchase Agreement (Repo) transactions set in the Regulation of Financial Services Authority (POJK) number 9 / POJKL.04 / 2015 on Guidelines for Repurchase Agreement Transactions for Financial Institutions. In deciding or conducting Repo Transactions, the Board of Directors shall always be based on good faith, which in the case of accountability of Law Number 40 Year 2007 regarding Limited Liability Company (UUPT) has been regulated in Article 97 paragraph (1), stating that the Board of Directors is responsible for the management of the Company as referred to in Article 92 paragraph (1). In its development of the Repo transaction, the Directors may conduct Self Dealing transactions in which the Self Dealing transaction is a transaction between the Board of Directors and the company itself. In the event that the Board of Directors is indicted for a Self Dealing transaction, then the Board of Directors shall also be liable for any transactions that cause such legal consequences. The consequence of the law in the case of Directors conducting Self Dealing transactions has also been regulated in Article 92 paragraphs (1) and (2), Article 97 paragraph (1) and (2), Article 98 and Article 99, Article 102 UUPT besides pursuant to Article 1365 KUHPerdata , the limits of all unlawful acts which result in a loss to others, require the person who is guilty of causing the loss to compensate the loss. / Munculnya berbagai macam transaksi di Pasar Modal membuat Direksi selaku pengurus perseroan harus berhati-hati dalam pengambilan keputusan, hal ini dikarenakan Tanggung Jawab yang melekat pada Direksi itu sendiri. Banyak sekali transaksi yang sebenarnya sangat beresiko tinggi di Pasar Modal untuk sebuah perseroan, Salah satu dari transaksi yang dilakukan perseroan di bidang pasar modal adalah transaksi Repurchase Agreement (Repo) yang di atur didalam Peraturan Otoritas Jasa Keuangan (POJK) nomor 9/POJKL.04/2015 tentang Pedoman Transaksi Repurchase Agreement Bagi Lembaga Jasa Keuangan. Dalam memutuskan atau melakukan Transaksi Repo, Direksi harus senantiasa berlandaskan dengan itikad baik, yang mana dalam hal pertanggung jawabannya Undang-Undang Nomor 40 Tahun 2007 tentang Perseroan Terbatas (UUPT) telah mengaturnya diantaranya terdapat didalam Pasal 97 ayat (1) yang menyatakan bahwa Direksi bertanggung jawab atas pengurusan Perseroan sebagaimana dimaksud dalam Pasal 92 ayat (1). Dalam perkembangannya atas transaksi Repo tersebut bisa saja Direksi melakukan transaksi Self Dealing yang mana transaksi Self Dealing tersebut merupakan transaksi antara Direksi dengan perseroan itu sendiri. Dalam hal Direksi terindikasi melakukan transaksi Self Dealing, maka Direksi juga bertanggung jawab atas transaksi yang menimbulkan akibat hukum tersebut. Akibat hukum dalam hal Direksi melakukan transaksi Self Dealing juga telah diatur didalam Pasal 92 ayat (1) dan (2), Pasal 97 ayat (1) dan (2), Pasal 98 dan Pasal 99, Pasal 102 UUPT selain itu berdasarkan Pasal 1365 KUHPerdata, batas segala perbuatan melawan hukum yang mengakibatkan suatu kerugian kepada orang lain, mewajibkan orang yang atas kesalahannya sehingga mengakibatkan kerugian tersebut harus mengganti kerugian tersebut.
