Abstract

The purpose of the provisions of the build operate transfer agreement is to increase the income of the region / country by empowering the natural resources in the area by building public facilities for the sake of community appropriateness. However, in its implementation, the agreement on the value of the BOT agreement has not been able to significantly increase State revenues, while the BOT agreement is confidential which makes it impossible for the public to access the BOT agreement. This study uses a normative juridical method with data collection used is secondary data. The results of this study that the agreement to build operate transfer in civil law in Indonesia are regulated in various laws and regulations, both from lex generalis (Civil Code) and lex specialis (special legislation). The purpose of holding the build operate transfer agreement is to obtain new sources of capital from the private sector, in order to reduce government loans and direct expenditure. The implementation of the agreement build operate transfers between the government and the private sector, specifically the legal certainty aspect of secrecy based on civil law in Indonesia, is the consequence test mechanism to consider information / agreement documents to operate confidential transfers based on law, compliance and public interest, so that with there is a consequence test, the Cooperation Agreement for the Development and Management of the Senayan Sports Tower between the Management Body of the Bung Kamo Sports Arena and PT XYZ can be confidential which is not always accessible to the general public with consideration to maintaining fair business competition in Indonesia and also the obligation to safeguard confidential information as stipulated in Article 11 of the Cooperation Agreement for the Construction and Management of the Senayan Sports Tower between the Management Body of the Bung Karno Sports Arena and PT XYZ. / Tujuan dari adanya ketentuan peijanjian build operate transfer (bangun serah guna) adalah menambah pemasukan daerah/negara dengan memberdayakan sumber daya alam yang ada di daerahnya dengan membangun fasilitas-fasilitas umum demi kepantingan masyarakat. Namun demikian dalam pelaksanaannya, kesepakatan nilai perjanjian BOT belum mampu meningkatkan pemasukan Negara secara signifikan, sedangkan peijanjian BOT tersebut bersifat rahasia yang membuat masyarakat tidak dapat mengakses perjanjian BOT. Penelitian ini menggunakan metode yuridis normatif dengan pengumpulan data yang digunakan adalah data sekunder. Hasil dari penelitian ini bahwa perjanjian build operate transfer (bangun guna serah) dalam hukum perdata di Indonesia diatur dalam berbagai peraturan perundang-undangan, baik dari lex generalis (KUHPerdata) maupun lex specialis (perundang-undangan khusus). Tujuan dari diadakannya perjanjian build operate transfer (bangun guna serah) adalah memperoleh sumber modal baru dari pihak swasta, agar dapat mengurangi pinjaman pemerintah dan pengeluaran langsung. Implementasi peijanjian build operate transfer antara pemerintah dan swasta, khususnya kepastian hukum aspek kerahasiaan berdasarkan hukum perdata di Indonesia adalah adanya mekanisme uji konsekuensi untuk mempertimbangkan atas Informasi/dokumen perjanjian build operate transfer yang bersifat rahasia berdasarkan undang-undang, kepatuhan dan kepentingan umum, sehingga dengan adanya uji konsekuensi tersebut, maka Perjanjian Kerjasama Pembangunan dan Pengelolaan Menara Olahraga Senayan antara Badan Pengelola Gelanggang Olahraga Bung Kamo dengan PT XYZ dapat bersifat rahasia yang tidak selalu dapat diakses kepada masyarakat umum dengan pertimbangan menjaga persaingan usaha sehat di Indonesia dan juga adanya kewajiban para pihak untuk menjaga informasi rahasia sebagaimana diatur dalam Pasal 11 Perjanjian Kerjasama Pembangunan dan Pengelolaan Menara Olahraga Senayan antara Badan Pengelola Gelanggang Olahraga Bung Kamo dengan PT XYZ.
