Abstract
Banking institution holds the central role in economic order of each
country. One of the bank’s main business is distributing saving funds into loan
that needed by people to accommodate their consumptive and productive needs.
Consumptive needs such as, buying property as their home. In which bank could
provide loan for ready stock and/or be or being built (indent) properties.
Financing the purchase be or being built properties requires the developers to
provide a buy back guarantee. The legal issues discussed in this research are the
procession of buy back guarantee by developer and the legal consequences for the
debtor. To answer those legal issues, data collection is done with a combination of
statue and conceptual approach including direct interview. From the research’s
result, it could be concluded that developer is doing buy back guarantee because
of the debtor’s negligence regarding their obligation in the credit’s agreement and
the bank could ask for some payment from the developer. In the time of payment
from developer, the bank and developer will sign subrogation, which resulted in
the debtor being bound to the developer. For that legal consequences, developer
PT X will offer optional acts to get repayment from debtor after fulfill buy back
guarantee to bank. The alternatives could be the termination of the consumer’s
rights because of the independent termination by the developer according to
Perjanjian Pengikatan Jual Beli, or consumer continue the payments according to
the new credit’s agreement, or the termination of the consumer’s rights in result of
the termination of Perjanjian Pengikatan Jual Beli with refund to the consumer (if
any). / Institusi perbankan memegang peran sentral dalam tatanan ekonomi setiap
negara. Salah satu usaha utama bank adalah menyalurkan dana simpanan menjadi
pinjaman yang diperlukan oleh masyarakat untuk memenuhi baik kebutuhan yang
sifatnya konsumtif maupun produktif. Kebutuhan konsumtif diantaranya adalah
pembelian rumah sebagai tempat tinggal. Dalam hal ini bank dapat berperan untuk
memberikan kredit atas pembelian rumah yang telah terbangun dan/atau rumah
yang masih dalam kondisi akan/sedang dibangun(indent). Dalam pembiayaan
pembelian properti yang akan/sedang dibangun, bank mewajibkan pengembang
untuk memberikan suatu jaminan yang disebut buy back guarantee. Dalam
penelitian ini, isu hukum yang diangkat adalah bagaimana pelaksanaan buy back
guarantee oleh pengembang beserta akibat hukum bagi debitur. Untuk menjawab
isu hukum diatas, maka pengumpulan data dilakukan dengan menggunakan
pendekatan perundang-undangan dan pendekatan konseptual yang disertai dengan
wawancara. Dari hasil penelitian tersebut, dapat disimpulkan bahwa buy back
guarantee timbul karena adanya kelalaian debitur yang tidak melaksanakan
kewajibannya berdasarkan perjanjian kredit dan bank meminta pelunasan
sejumlah uang dari pengembang berdasarkan perjanjian kerjasama. Pada saat yang
bersamaan dengan pelunasan oleh pengembang, bank dan pengembang akan
menandatangani subrograsi sehingga debitur menjadi terikat ke pengembang. Atas
konsekuensi hukum tersebut, pengembang PT X akan memberikan beberapa
pilihan tindakan kepada debitur untuk mendapatkan pelunasan kembali atas
dilakukannya buy back guarantee kepada bank. Tindakan-tindakan itu dapat
berupa pembatalan sepihak yang menyebabkan hilangnya hak konsumen
berdasarkan Perjanjian Pengikatan Jual Beli, konsumen melanjutkan pembayaran
dengan pengembang sesuai dengan perjanjian hutang piutang yang baru, atau
pembatalan Perjanjian Pengikatan Jual Beli atas kesepakatan para pihak yang
disertai pengembalian uang kepada konsumen (jika ada).
